Common use of Corporate Integrity Agreement Clause in Contracts

Corporate Integrity Agreement. Neither any Credit Party or Subsidiary, nor any of their respective Affiliates, nor any officer, director, managing employee or, to the Knowledge of Borrower, agent (as those terms are defined in 42 C.F.R. § 1001.1001) of any Credit Party or Subsidiary, is a party or is otherwise subject to any order, individual integrity agreement, or corporate integrity agreement with any U.S. Governmental Authority concerning compliance with any laws, rules, or regulations, issued under or in connection with a Governmental Payor Program.

Corporate Integrity Agreement. Neither any Credit Party or Subsidiary, nor any of their respective Affiliates, nor any officer, director, managing employee or, to the Knowledge of Borrowerthe Credit Parties, agent (as those terms are defined in 42 C.F.R. § 1001.1001) of any Credit Party or Subsidiary, is a party or is otherwise subject to any order, individual integrity agreement, or corporate integrity agreement with any U.S. Governmental Authority concerning compliance with any laws, rules, or regulations, issued under or in connection with a Governmental Payor Program.

Neither any None of the Credit Party Parties or Subsidiary, nor any of their respective Subsidiaries or their Affiliates, nor any officer, director, managing employee or, to the Knowledge of Borrowerthe applicable Credit Party or Subsidiary, agent (as those terms are defined in 42 C.F.R. § 1001.1001) of any Credit Party or Subsidiarythereof, is a party to, or is otherwise subject to bound by, any order, individual integrity agreement, or corporate integrity agreement with any U.S. Governmental Authority concerning compliance with any laws, rules, or regulations, issued under or in connection with a Governmental Payor Program.

Corporate Integrity Agreement. Neither any Credit Party or Subsidiary, nor Subsidiary or any of their respective Affiliates, nor any officer, director, managing employee or, to the Knowledge of Borrower, agent (as those terms are defined in 42 C.F.R. § 1001.1001) of any Credit Party or Subsidiary, Affiliates is a party to or has any ongoing reporting or disclosure obligations under, or is otherwise subject to to, any corporate integrity agreement, monitoring agreement, deferred prosecution agreement, consent decree, settlement order or other similar agreements, or any order, individual integrity agreement, or corporate integrity agreement with in each case imposed by any U.S. Governmental Authority Authority, concerning compliance with any laws, rules, rules or regulations, issued under or in connection with a Governmental Payor Program.
