Contribution of Loans. Effective as of the Closing Date and in partial consideration of the Joint Venture’s agreement to comply with the provisions of this Agreement applicable to it, Seller for itself and on behalf of all of its Subsidiaries (each, a “Releasing Party”) hereby releases the Joint Venture from any and all indebtedness, liabilities and obligations with respect to the Joint Venture in respect of all funds that have been previously loaned and/or advanced to the Joint Venture by any of the Releasing Parties, such amounts to be treated by all parties as having been contributed to the capital of the Joint Venture by the Releasing Parties. As of the date hereof, such outstanding balance is the equivalent in Austrian Schillings of $210,000 (two hundred and ten thousand United States dollars). Seller agrees that the Joint Venture shall be entitled to the benefits of the provisions of this Section 5.02 with the right to enforce the terms hereof.

Contribution of Loans. Prior to the Closing, Xx. Xxxx shall make a capital contribution to HP consisting of the loan made by Xx. Xxxx to HP that is secured by the Xxxx Mortgage and, prior to the Closing, any and all other loans that have been made by Xx. Xxxx or other HS Shareholders or HP Owners to HS or HP shall also be contributed to HS or HP, as applicable. HS and HP shall have no further liability under any such loans after the Closing Date. HS and HP shall provide Calavo with written evidence of (1) the contribution of such loans and (2) the cancellation and re-conveyance to HP of the Xxxx Mortgage and the termination of the Xxxx Financing Statement.

  • DISTRIBUTIONS AND ADVANCES Section 5.01

  • Loans from the General Partner; Loans or Contributions from the Partnership or Group Members (a) The General Partner or any of its Affiliates may lend to any Group Member, and any Group Member may borrow from the General Partner or any of its Affiliates, funds needed or desired by the Group Member for such periods of time and in such amounts as the General Partner may determine; provided, however, that in any such case the lending party may not charge the borrowing party interest at a rate greater than the rate that would be charged the borrowing party or impose terms less favorable to the borrowing party than would be charged or imposed on the borrowing party by unrelated lenders on comparable loans made on an arm’s-length basis (without reference to the lending party’s financial abilities or guarantees), all as determined by the General Partner. The borrowing party shall reimburse the lending party for any costs (other than any additional interest costs) incurred by the lending party in connection with the borrowing of such funds. For purposes of this Section 7.6(a) and Section 7.6(b), the term “Group Member” shall include any Affiliate of a Group Member that is controlled by the Group Member.

  • Payment of Loans The Borrower shall punctually pay the principal and interest on the Loans, and all other sums falling due hereunder or under any other documents executed in connection with the Loans, in accordance with the terms hereof and thereof.

  • Application of credit balances Each Creditor Party may without prior notice:

  • Certificates for Reimbursement; Repayment of Outstanding Loans; Borrowing of New Loans A certificate of a Lender or the Issuing Lender setting forth the amount or amounts necessary to compensate such Lender or the Issuing Lender or its holding company, as the case may be, as specified in Sections 5.8.1 [Increased Costs Generally] or 5.8.2 [Capital Requirements] and delivered to the Borrower shall be conclusive absent manifest error.   • Additional Capital Contributions and Issuances of Additional Partnership Interests Except as provided in this Section 4.2 or in Section 4.3, the Partners shall have no right or obligation to make any additional Capital Contributions or loans to the Partnership. The General Partner may contribute additional capital to the Partnership, from time to time, and receive additional Partnership Interests in respect thereof, in the manner contemplated in this Section 4.2.

  • Loans From Members Loans by Members to the Company shall not be considered Capital Contributions. Subject to the provisions of Section 3.01(c), the amount of any such advances shall be a debt of the Company to such Member and shall be payable or collectible in accordance with the terms and conditions upon which such advances are made.
