Continuation Requirements. Seller has, at all times, complied, and currently complies, in all material respects with the applicable continuation requirements for its welfare benefit plans, including (A) Section 4980B of the Code (as well as its predecessor provision, Section 162(k) of the Code) and Sections 601 through 608, inclusive, of ERISA, and (B) any applicable state statues mandating health insurance continuation coverage for employees.

Continuation Requirements. The Company and the Subsidiaries have, at all times, complied in all material respects with the applicable continuation requirements for their welfare benefit plans, including (i) § 4980B of the Code and §§ 601 through 608, inclusive, of ERISA, and (ii) any applicable state statutes mandating health insurance continuation coverage for employees. Neither the Company nor any of the Subsidiaries has incurred any current or projected Liability in respect of post-employment medical or life insurance benefits for any current or former employees of the Company or the Subsidiaries, except as may be required by applicable Laws and at the former employee’s expense.

  • Satisfaction Requirement If any agreement, certificate or other writing, or any action taken or to be taken, is by the terms of this Agreement required to be satisfactory to any Purchaser, to any holder of Notes or to the Required Holder(s), the determination of such satisfaction shall be made by such Purchaser, such holder or the Required Holder(s), as the case may be, in the sole and exclusive judgment (exercised in good faith) of the Person or Persons making such determination.
