Common use of Consent Clause in Contracts

Consent. Whenever performance of an obligation of any Party hereto requires the consent or approval of any Governmental Authority, such Party shall make Commercially Reasonable efforts to obtain such consent or approval. In the event the Competitive Supplier requests the Town’s assistance in obtaining such consent or approval and the Town anticipates that it will incur costs in fulfilling the Competitive Supplier’s request, it shall give the Competitive Supplier an estimate of such costs. Upon receiving the estimate, Competitive Supplier shall determine whether it will continue to request the Town’s assistance, and if so, the Competitive Supplier shall reimburse the Town for all costs, up to the estimated dollar amount, reasonably incurred by the Town in connection with such efforts.

Consent. Upon receiving the estimate, Competitive Supplier shall determine whether if it will continue to request the Town’s assistance, and if so, the Competitive Supplier shall reimburse the Town for all costs, up to the estimated dollar amount, costs reasonably incurred by the Town in connection with such effortsassistance.

Upon receiving the estimate, Competitive Supplier shall determine whether it will continue to request the Town’s Municipality's assistance, and if so, the Competitive Supplier shall reimburse the Town Municipality for all costs, up to the estimated dollar amount, reasonably incurred by the Town Municipality in connection with such efforts.
