Conflict with Asset Purchase Agreement. Notwithstanding anything to the contrary contained in this Lease, the Lessor and Lessee agree that in the event any provision of this Lease conflicts in any manner with the provisions of the Asset Purchase Agreement that the terms and conditions of the Asset Purchase Agreement shall govern and shall supersede those set forth in this Lease.

  • Asset Purchase Agreement The transactions contemplated by the Asset Purchase Agreement shall have been consummated.
