CONDITIONS TO OWNER'S OBLIGATIONS. Owner’s obligation to consummate the Phase II Closing is conditioned on all of the following, any or all of which may be expressly waived by Owner in writing, at its sole option:

The obligation of owner to issue the Notes and execute and deliver the Loan Documents to which it is a party on the Closing Date is subject to satisfaction of the conditions set forth in Part C of this Section 5 and (a) the accuracy and correctness on the Closing Date of the representations and warranties of the other parties hereto contained herein, (b) the performance by the other parties hereto of their respective agreements contained herein and to be performed by them on or prior to the Closing Date and (c) the satisfaction of all of the following conditions on or prior to the Closing Date:
