Conditions to Obligations of the Seller Parties to the Deferred Closing. The obligations of the Seller Parties to effect each Deferred Transaction, if any, will be further subject to the satisfaction on or prior to the Deferred Closing Date of the satisfaction or waiver of the applicable Deferral Consent Condition referred to in Section 7.1(a) with respect to the applicable Deferred Asset to be Transferred (in addition to the conditions set forth in Sections 9.2, Section 9.3(a) (to the extent applicable to such Deferred Closing), Section 9.3(b) and, if applicable, Section 9.3(d), to the extent relating to any Deferred Assets to be Transferred as such Deferred Closing), any of which may be waived exclusively by the Seller Parties.
