With respect to the Operations, there are no proceedings of record, no proceedings are pending or to Seller's knowledge threatened, nor has Seller received any written notice regarding any violation of any law, ordinance, requirement, order, rule or regulation enforced by any governmental agency or other entity (federal, state or local) claiming jurisdiction over Seller, including without limitation, any requirement of OSHA or any pollution and/or environmental control agency.

The Purchaser is presently complying in respect of its operations, equipment, practices, real property, structures, and other property, and all other aspects of its business and operations, with all applicable Regulations and Orders, except where such failures or failures to so comply would not individually or in the aggregate have a Material Adverse Effect. There are no Claims pending, nor to the best knowledge of the Purchaser are there any Claims threatened, nor has Purchaser received any written notice, regarding any material violations of any Regulations and Orders enforced by any Authority claiming jurisdiction over the Company, including any requirements of OSHA or any pollution and environmental control agency (including air and water).

The Seller is presently complying in all material respects of its operations, practices and property, with all applicable Regulations and Orders, including, but not limited to, all Regulations relating to the safe conduct of business, environmental protection, Taxes, consumer protection, equal opportunity, health, sanitation, fire and occupational safety. There are no Claims pending, nor to the best knowledge of the Seller are there any Claims threatened, nor has the Seller received any written notice, regarding any violations of any Regulations and Orders enforced by any Authority claiming jurisdiction over the Seller.

There are no Claims pending, or to the Corporation's knowledge threatened, nor has the Corporation received any written notice, regarding any violations of any Regulations and Orders enforced by any Authority claiming jurisdiction over the Corporation including any requirement of OSHA or any pollution and environmental control agency (including air and water).

There are no Claims pending, or threatened, nor has the Company received any written notice, regarding any violations of any Regulations and Orders enforced by any Government Body claiming jurisdiction over the Company including any requirement of OSHA or any pollution and environmental control agency (including air and water).

There are no Claims pending, nor to the best knowledge of the Sellers are there any Claims threatened, nor has any Seller or Unipath Entity received any written notice, regarding any violations of any Regulations and Orders enforced by any Authority claiming jurisdiction over any Unipath Entity, including any requirement of OSHA or any pollution and environmental control agency (including air and water).
