Common use of Company Counsel Matters Clause in Contracts

Company Counsel Matters. On the Closing Date, the Placement Agent shall have received the favorable opinion and negative assurance letter from Ellenoff Xxxxxxxx & Schole LLP, outside U.S. counsel for the Company and legal opinions from Xxxxxx Group, BVI counsel for the Company, and Deheng Law Offices, PRC counsel for the Company, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory to the Placement Agent.
