Closing Date Opinion of U.S. Counsel. On the Closing Date, the Representative shall have received the favorable opinion of Sichenzia Rxxx Xxxxxxx LLP, U.S. legal counsel to the Company, dated the Closing Date and addressed to the Representative, substantially in the form of Exhibit E attached hereto.
Closing Date Opinion of U.S. Counsel. On the Closing Date, the Placement Agent shall have received the favorable opinion of Xxxxxxxx & Worcester LLP, U.S. counsel to the Company, and a written statement providing certain “10b-5” negative assurances, dated the Closing Date and addressed to the Placement Agent, substantially in the form of Exhibit E-1 attached hereto.
Closing Date Opinion of U.S. Counsel. On the Closing Date, the Representative shall have received the favorable opinion of Zysman, Aharoni, Xxxxx and Xxxxxxxx & Worcester LLP, U.S. counsel to the Company, and a written statement providing certain “10b-5” negative assurances, dated the Closing Date and addressed to the Representative, substantially in the form of Exhibit D-1 attached hereto.

On the Closing Date and on each Option Closing Date (if any), the Representatives shall have received (i) the favorable opinion of Sheppard, Mullin, Rxxxxxx & Hxxxxxx LLP, U.S. counsel to the Company, dated the Closing Date or Option Closing Date, as applicable, and addressed to the Representatives, and (ii) a written statement providing certain “10b-5” negative assurances, addressed to the Representatives and dated the Closing Date and any Option Closing Date (if such date is other than the Closing Date), each in a form reasonably satisfactory to the Representatives and Representatives Counsel.

On the Closing Date and on each Option Closing Date (if any), the Representative shall have received the favorable opinion of Ortoli Rosenstadt LLP, counsel to the Company, dated the Closing Date or Option Closing Date, as applicable, and addressed to the Representative, substantially in form and substance reasonably satisfactory to the Representative and Representative Counsel.

On the Closing Date and on each Option Closing Date (if any), the Representative shall have received (i) the favorable opinion of Xxxxxx Xxxxxxx Xxxxxxx & Li LLC, New York, U.S. counsel to the Company, dated the Closing Date or Option Closing Date, as applicable, and addressed to the Underwriters, and (ii) a written statement providing certain “10b-5” negative assurances, addressed to the Underwriters and dated the Closing Date and any Option Closing Date (if such date is other than the Closing Date), each in a form reasonably satisfactory to the Representative and Underwriter Counsel.

On the Closing Date and on each Option Closing Date (if any), the Underwriter shall have received (i) the favorable opinion of Loeb & Loeb LLP, New York, U.S. counsel to the Company, dated the Closing Date or Option Closing Date, as applicable, and addressed to the Underwriter, and (ii) a written statement providing certain “10b-5” negative assurances, addressed to the Underwriter and dated the Closing Date and any Option Closing Date (if such date is other than the Closing Date), each in a form reasonably satisfactory to the Underwriter and Underwriter Counsel.

On the Closing Date and on each Option Closing Date (if any), the Representative shall have received the favorable opinion of Loeb & Loeb LLP, counsel to the Company, dated the Closing Date or Option Closing Date, as applicable, and addressed to the Representative, substantially in form and substance reasonably satisfactory to the Representative in the form of Exhibit C hereto.

On the Closing Date and on each Option Closing Date (if any), the Representative shall have received (i) the favorable opinion of Carmel, Mxxxxxx & DxXxxxxx LLP, U.S. counsel to the Company, dated the Closing Date or Option Closing Date, as applicable, and addressed to the Representative, and (ii) a written statement providing certain “10b-5” negative assurances, addressed to the Representative and dated the Closing Date and any Option Closing Date (if such date is other than the Closing Date), each in a form reasonably satisfactory to the Representative and Representative Counsel.

On the Closing Date, the Underwriter shall have received the favorable opinion and negative assurance letter of Zysman, Aharoni, Xxxxx and Xxxxxxxx & Worcester LLP, U.S. counsel to the Company, dated the Closing Date and addressed to the Underwriter, in form and substance reasonably satisfactory to the Underwriter.
