CNBC Sports and BHL shall negotiate in good faith regarding possible arrangements for promotional exposure of the Web Site, BHL or BHL's associated brands at golf tournaments managed by CNBC Sports during the Initial Period including the World Cup of Golf and the Ladies Irish Open on terms to be agreed.
CNBC Sports. (a) represents and warrants that the signatory to this Agreement on behalf of Luna xxx the power and authority to sign this Agreement and, by doing so, to bind that party to this Agreement and all of its terms and (b) shall indemnify and keep indemnified each of the BHL Parties against all liabilities, claims, actions, proceedings, costs, damages and expenses (including without limitation reasonable legal fees) reasonably and properly incurred by each of the BHL Parties and arising out of any breach of such representation and warranty.

  • VOETSTOOTS The PROPERTY is sold:

  • WSIB & LTD An Employee who is receiving benefits under the Workplace Safety and Insurance Act, or under a LTD plan, is not entitled to benefits under a school board’s sick leave and short term disability plan for the same condition unless the employee is on a graduated return to work program then WSIB/LTD remains the first payor. For clarity, where an employee is receiving partial benefits under WSIB/LTD, they may be entitled to receive benefits under the sick leave plan, subject to the circumstances of the specific situation. During the interim period from the date of the injury/incident or illness to the date of the approval by the WSIB/LTD of the claim, the employee may access sick leave and short term leave and disability coverage. A reconciliation of sick leave deductions made and payments provided, will be undertaken by the school board once the WSIB/LTD has adjudicated and approved the claim. In the event that the WSIB/LTD does not approve the claim, the school board shall deal with the absence consistent with the terms of the sick leave and short term leave and disability plans.

  • Footwear Where an employee is required by the College or by legislation, in order to perform his/her duties, to acquire and wear protective footwear, the employee shall provide the College with proof of purchase by March 1 each year and the College shall reimburse such employee, on the first pay day in April in each year, up to a maximum of one hundred and fifty dollar ($150.00). In situations other than the foregoing, the College may, in its discretion, (which discretion shall not be unreasonably exercised) reimburse such expense where it is recommended by the health and safety committee constituted under the Occupational Health and Safety Act.

  • Newco Prior to the Effective Time, Newco shall not conduct any business or make any investments other than as specifically contemplated by this Agreement and will not have any assets (other than the minimum amount of cash required to be paid to Newco for the valid issuance of its stock to the Parent).
