Closing Threshold. For the ten (10) Trading Days immediately preceding the date of the Series C Financing Notice, the average daily trading volume of the Common Stock on the NASDAQ shall be at least $150,000 and the average of the Per Share Market Value for such ten (10) Trading Day period shall be greater than $1.50 (subject to stock splits and similar adjustments);
Closing Threshold. For the twenty Trading Days immediately preceding such Closing Date, the average daily trading volume of the Common Stock on the NASDAQ National Market as reported by Bloomberg LP, shall be at least 120,000 shares and the closing bid price of a share of common stock of the Company as reported on the NASDAQ National Market for each of the Fifteen Trading Days preceding the Initial Put Notice or additional Put Notice which apply to such Closing shall not have been less than $1.50 nor greater than $5.00.
Closing Threshold. For the fifteen (15) Trading Days immediately preceding both the Additional Financing Notice and the Additional Closing Date, the weighted dollar trading volume of the Common Stock, based on the Closing Bid Price on the Principal Market, shall be at least 1,250% of the amount of the Additional Financing Notice and the average of the Per Share Market Value for such fifteen (15) Trading Day period shall be greater than $3.00.
Closing Threshold. For the ten Trading Days immediately preceding both the date of the Put Notice and the Settlement Date, the weighted average daily trading volume (volume times closing bid price) of the Common Stock shall be greater than $30,000 and the weighted average closing bid price for the Common Stock shall be not less than $0.10 per share. In the event that either of these thresholds is not met, then, notwithstanding the delivery of a Put Notice, the Company shall not be obligated to Put the Put Shares to the Purchaser.
Closing Threshold. For the ten (10) Trading Days immediately preceding the date of the Second Additional Financing Notice, the average daily trading volume of the Common Stock on the OTC shall be at least 150,000 shares and the average of the Per Share Market Value for such ten (10) Trading Day period shall be greater than $1.75 (subject to equitable adjustments for stock splits, recombinations and similar events);
Closing Threshold. Section 5.1(e) of the Stock Purchase Agreement is hereby deleted in its entirety.
Closing Threshold. For the thirty Trading Days immediately preceding each of (a) the date that the Put Notice is delivered and (b) the Second Closing Date, the average daily trading volume of the Common Stock on the NASDAQ Stock Market as reported by Bloomberg LP, shall be at least 100,000 shares and the average of the Per Share Market Value for the thirty Trading Day period immediately preceding each of (a) the date that the Put Notice is delivered and (b) the Second Closing Date shall be at least $6.35 (subject to adjustment in the event of stock splits and similar events); and
Closing Threshold. For the 20 Business Days immediately preceding the Tranche 3 Closing Date, the average daily trading volume of the Common Stock on NASDAQ shall be at least 50,000 shares and there shall be no five (5) consecutive Business Days within such twenty (20) Business Day period where the average daily volume is less than 30,000 shares per day and the average of the Per Share Market Values for the ten (10) Business Days immediately preceding the Tranche 3 Closing Date shall be greater than $7.00; and
Closing Threshold. For the twenty Trading Days immediately ----------------- preceding both the Put Date and the Closing Date the weighted average daily trading volume of the Common Stock on the Principal Exchange (volume multiplied by Bid Price) shall not be less than $100,000.
Closing Threshold. For the thirty (30) Trading Days immediately prior to the Series C Closing Date, (i) the Per Share Market Value shall have been equal or greater than $4.00, (ii) there shall be a minimum of twelve (12) market makers actively making a market in the Common Stock, and (iii) the average weekly dollar volume of the Common Stock traded on NASDAQ shall be a minimum of $1,000,000;
