Change in Control Benefits After the Reassignment Date. After the Transition Date, you shall not be entitled to receive any Change in Control severance benefits, regardless of whether the Company is subject to a Change in Control after the Transition Date (including any Change in Control that occurs during the Transition Period) under your Change in Control Agreement. The acceleration of the vesting of your stock options upon a Change in Control shall be governed by the Option Plans and your Option Agreements. You expressly agree that your Change in Control Agreement shall have no further force or effect after the Transition Date, and you hereby waive any right to any compensation or benefits under that Agreement after the Transition Date. For purposes of clarification, if there is a Change of Control after the Transition Period, all other terms of this Agreement will remain in full effect.

  • Change in Control Benefits Agreement shall mean any separate agreement between Participant and the Corporation which provides Participant with special vesting acceleration and/or other special benefits with respect to one or more awards of restricted stock units made to Participant for shares of Common Stock, including (to the extent applicable) the restricted stock units evidenced by this Agreement, in the event of a change in control or ownership of the Corporation (whether or not constituting a Change in Control hereunder).

  • Change in Control Benefit If a Change in Control occurs followed within twenty-four (24) months by Separation from Service prior to Normal Retirement Age, the Bank shall distribute to the Executive the benefit described in this Section 2.4 in lieu of any other benefit under this Article.

Notice of termination without Cause or for Good Reason shall be given in accordance with Section 13, and shall indicate the specific termination provision hereunder relied upon, the relevant facts and circumstances and the Termination Date.

  • Change in Control Period “Change in Control Period” means the period of time beginning three (3) months prior to and ending twelve (12) months following a Change in Control.
