This time period may be extended for up to 14 days if you agree. If we request an extension we will notify you in advance of the extension and the reasons for the extension. When a pre-certification for an urgent service is requested from HealthPartners, an initial determination must be made within 72 hours, so long as all information reasonably needed to make a decision has been provided. In the event that you have not provided all information necessary to make a decision, you will be notified of such failure within 24 hours. You will then be given 48 hours to provide the requested information. You will be notified of the benefit determination within 48 hours after the earlier of HealthPartners receipt of the complete information or the end of the time granted to you to provide the specified additional information. If the determination is made to approve, we will notify your health care provider by telephone, and we may send written verification. If the initial determination is made not to approve, we will notify your health care provider and hospital, if appropriate, by telephone within one working day of the determination, and we will send written verification with details of the denial. If you want to request an expedited review, or have received a denial of a pre-certification and want to request an appeal, you have a right to do so. If your complaint is not resolved to your satisfaction under certain circumstances, you may request an external review. Certification Process. Certification is intended to be a collaborative process and supportive of sites’ development and growth. The purpose of certification is to provide feedback, recommendations, and support as part of our ongoing commitment to quality assurance and improvement. A member of the ParentChild+ National Center team will visit each site to conduct the review. The cost of the site visit is included in the initial training and technical assistance fee. The certification visit will consist of: A comprehensive review of the files and administrative procedures in place; An observation of a weekly staff-meeting of the Coordinator and all her/his ELSs; A focus group with ELSs; A meeting between the National Center representative and the Coordinator; and A meeting with the Coordinator’s supervisor, Agency director, and the National Center representative.

Certification Process o Once the company has been assessed to the documented standards and a initial certification audit, a final report will be issued. o The Organisation has up to 90-day period to address all findings raised and submit this back to Sancert. (Depending on the finding raised) o In some instances, if there are major findings, the Auditor might have to re-audit these issues on site. The Organisation will be notified of this during the close out meeting. o Once all findings have been closed out, Sancert will recommend the company for official certification. o The certification committee will review all audit packs and give instruction that certification may be granted. Upon this process being completed Sancert will raise a draft certificate which will be sent to the client for approval with regards to correctness of information. o Certificates will be issued within four weeks thereafter. ANNEXURE “E” • On-site, off-site and or part off-site rules and requirements: - o In order for On-site, off-site and or part off-site certification audits to be deemed effective a number of documents and records need to be available or supplied for the auditors to review, this is over and above the documented management system. • The following needs to be available: -

Subject to the terms of this Agreement, Sigma grants to Company, and Company hereby accepts, a world-wide, non-exclusive, non-transferable, royalty- free, revocable only as set forth in Section 13.1 and Section 13.2 (Term and Termination), license (without the right to assign, transfer or convey such rights, in whole or in part) for use of the Sigma ASIC and Licensed Materials as by Company for the following: (i) a license to use the Sigma ASIC and Licensed Materials for the purposes of incorporating the Sigma ASIC and Licensed Materials into the Company Product and designing, developing, and testing the Company Product; and (ii) a license to manufacture or have manufactured Company Product containing the Sigma ASIC and Licensed Materials, the design of which is based in whole or in part on the Sigma ASIC and Licensed Materials, by Manufacturer(s), provided that the Company Product is submitted and passes Certification as set forth in Section 5.1 through Section 5.3 in this Agreement prior to manufacturing the Company Product or distributing to the Company Product to end-users.
