Certificate of President. The Purchaser shall have received a certificate of the President of the Company dated such Closing Date to the effect that (i) the representations and warranties made by the Company in Article 3 hereof are true and correct in all material respects as of the Closing with the same force and effect as if they had been made as of the Closing, except those made as to a particular date which shall be true as of such date;
Certificate of President. Seller shall have delivered to Purchaser and Ultratech a certificate executed by its President, dated the date of the Closing, to the effect that the conditions set forth in subsections (a)-(e) and (j) of this Section 9.1, have been satisfied.
