Common use of Certificate of Compliance Clause in Contracts

Certificate of Compliance. The Purchaser will have delivered to the Company a certificate dated the Closing Date, signed by an authorized officer of the Purchaser, certifying as to the satisfaction of the conditions set out in Section 10.2.1, Section 10.2.2 and Section 10.2.3.

Certificate of Compliance. The Purchaser will have delivered to the Company Vendor a certificate dated the Closing Date, signed by an authorized officer of the Purchaser, certifying as to the satisfaction of the conditions set out forth in Section 10.2.16.2.1, Section 10.2.2 6.2.2 and Section 10.2.36.2.3.

The Purchaser and Axxxxx will have delivered to the Company Vendor a certificate dated the Closing Date, signed by an authorized officer of the PurchaserPurchaser and Axxxxx, certifying as to the satisfaction of the conditions set out forth in Section 10.2.17.2.1, Section 10.2.2 7.2.2 and Section 10.2.37.2.3.

The Purchaser will shall have delivered to the Company Selling Parties a certificate of the Purchaser dated as of the Closing Date, signed executed by an authorized officer of the Purchaser, certifying as to the satisfaction of the conditions set out in compliance with Section 10.2.1, Section 10.2.2 8.1 and Section 10.2.38.2.
