Common use of Certificate of Compliance Clause in Contracts

Certificate of Compliance. The Servicer shall deliver to the Note Issuer, the Note Trustee, the Certificate Trustee and the Rating Agencies on or before March 31 of each year, commencing March 31, 2006 to and including the March 31 succeeding the Retirement of the Notes, an Officer’s Certificate substantially in the form of Exhibit A hereto (a “Certificate of Compliance”), stating that: (i) a review of the activities of the Servicer during the twelve months ended the preceding December 31 (or, in the case of the first Certificate of Compliance to be delivered on or before March 31, 2006, the period of time from the date of this Agreement until December 31, 2005) and of its performance under this Agreement has been made under such Responsible Officer’s supervision, and (ii) to the best of such Responsible Officer’s knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement in all material respects throughout such twelve months (or, in the case of the Certificate of Compliance to be delivered on or before March 31, 2006, the period of time from the date of this Agreement until December 31, 2005), or, if there has been a failure to fulfill any such obligation in any material respect, specifying each such failure known to such Responsible Officer and the nature and status thereof.

Certificate of Compliance. The Servicer shall deliver to the Note Issuer, the Note Trustee, the Certificate Trustee and the Rating Agencies on or before March 31 of each year, commencing March 31, 2006 2002 to and including the March 31 succeeding the Retirement of the Notes, an Officer’s 's Certificate substantially in the form of Exhibit A hereto (a “"Certificate of Compliance”"), stating that: (i) a review of the activities of the Servicer during the twelve months ended the preceding December 31 (or, in the case of the first Certificate of Compliance to be delivered on or before March 31, 20062002, the period of time from the date of this Agreement until December 31, 20052001) and of its performance under this Agreement has been made under such Responsible Officer’s 's supervision, and (ii) to the best of such Responsible Officer’s 's knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement in all material respects under this Agreement throughout such twelve months (or, in the case of the Certificate of Compliance to be delivered on or before March 31, 20062002, the period of time from the date of this Agreement until December 31, 20052001), or, if there has been a failure to fulfill default in the fulfillment of any such obligation in any material respectobligation, specifying each such failure material default known to such Responsible Officer and the nature and status thereof.

Certificate of Compliance. The Servicer shall deliver -------------------------- to the Note Issuer, the Note Trustee, the Certificate Trustee and the Rating Agencies Infrastructure Bank on or before March August 31 of each year, commencing March August 31, 2006 1998 to and including the March August 31 succeeding the Retirement of the Notes, an Officer’s 's Certificate substantially in the form of Exhibit A B hereto (a “"Certificate of Compliance”"), stating that: (i) a review of the activities of the Servicer during the twelve months ended the preceding December 31 (or, in the case of the first Certificate of Compliance to be delivered on or before March August 31, 20061998, the period of time from the date of this Agreement until December 31June 30, 20051998) ended the preceding June 30 and of its performance under this Agreement has been made under such Responsible Officer’s officer's supervision, and (ii) to the best of such Responsible Officer’s officer's knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement in all material respects under this Agreement throughout such twelve months (or, in the case of the Certificate of Compliance to be delivered on or before March August 31, 20061998, the period of time from the date of this Agreement until December 31June 30, 20051998), or, if there has been a failure to fulfill default in the fulfillment of any such obligation in any material respectobligation, specifying each such failure material default known to such Responsible Officer officer and the nature and status thereof.

Certificate of Compliance. Certificate of Compliance. The Servicer shall deliver to the Grantee, the Note Issuer, the Note Trustee, the Certificate Indenture Trustee and the Rating Agencies on or before March 31 September 30 of each year, commencing March 31September 30, 2006 1999 to and including the March 31 September 30 succeeding the Retirement of the Notes, an Officer’s 's Certificate substantially in the form of Exhibit A EXHIBIT B hereto (a “"Certificate of Compliance”"), stating that: (i) a review of the activities of the Servicer during the twelve months ended the preceding December 31 June 30 (or, in the case of the first Certificate of Compliance to be delivered on or before March 31September 30, 20061999, the period of time from the date of this Agreement until December 31June 30, 20051999) and of its performance under this Agreement has been made under such Responsible Officer’s officer's supervision, and (ii) to the best of such Responsible Officer’s officer's knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement in all material respects under this Agreement throughout such twelve months (or, in the case of the Certificate of Compliance to be delivered on or before March 31September 30, 20061999, the period of time from the date of this Agreement until December 31June 30, 20051999), or, if there has been a failure to fulfill default in the fulfillment of any such obligation in any material respectobligation, specifying each such failure material default known to such Responsible Officer officer and the nature and status thereof.

Certificate of Compliance. The Servicer shall deliver to the Note Issuer, the Note Trustee, the Certificate Indenture Trustee and the Rating Agencies on or before March 31 30 of each year, commencing March 3130, 2006 2004 to and including the March 31 30 succeeding the Retirement of the NotesSeries 2003-1 Bonds, an Officer’s 's Certificate substantially in the form of Exhibit A B hereto (a “"Certificate of Compliance”"), stating that: (i) a review of the activities of the Servicer during the twelve months ended the preceding December 31 (or, in the case of the first Certificate of Compliance to be delivered on or before March 3130, 20062004, the period of time from the date of this Agreement until December 31, 20052003) and of its performance under this Agreement has been made under such Responsible Officer’s officer's supervision, and (ii) to the best of such Responsible Officer’s officer's knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement in all material respects under this Agreement throughout such twelve months (or, in the case of the Certificate of Compliance to be delivered on or before March 31March, 200630, 2004, the period of time from the date of this Agreement until December 31, 20052003), or, if there has been a failure to fulfill any such obligation in any material respectServicer Default hereunder or an event which with the giving of notice, the lapse of time, or both, would become a Servicer Default hereunder, specifying each such failure default or event known to such Responsible Officer officer and the nature and status thereof.

Certificate of Compliance. The Servicer shall deliver to the Note Issuer, the Note Trustee, the Certificate Trustee and the Rating Agencies on or before March 31 of each year, commencing March 31, 2006 2002 to and including the March 31 succeeding the Retirement of the NotesSecuritization Bonds, an Officer’s 's Certificate substantially in the form of Exhibit A hereto (a “"Certificate of Compliance”"), stating that: (i) a review of the activities of the Servicer during the twelve months ended the preceding December 31 (or, in the case of the first Certificate of Compliance to be delivered on or before March 31, 20062002, the period of time from the date of this Agreement until December 31, 20052001) and of its performance under this Agreement has been made under such Responsible Authorized Officer’s 's supervision, and (ii) to the best of such Responsible Authorized Officer’s 's knowledge, based on such review, the Servicer has fulfilled all of its material obligations under this Agreement in all material respects under this Agreement throughout such twelve months (or, in the case of the Certificate of Compliance to be delivered on or before March 31, 20062002, the period of time from the date of this Agreement until December 31, 20052001), or, if there has been a failure to fulfill default in the fulfillment of any such obligation in any material respectobligation, specifying each such failure material default known to such Responsible Authorized Officer and the nature and status thereof.

Certificate of Compliance. The Servicer shall deliver to the Note Issuer, the Note Trustee, the Certificate Trustee and the Rating Agencies on or before March 31 of each year, commencing March 31, 2006 2003 to and including the March 31 succeeding the Retirement of the NotesBonds, an Officer’s 's Certificate substantially in the form of Exhibit A hereto (a “"Certificate of Compliance”"), stating that: (i) a review of the activities of the Servicer during the twelve months ended the preceding December 31 (or, in the case of the first Certificate of Compliance to be delivered on or before March 31, 20062003, the period of time from the date of this Agreement until December 31, 20052002) and of its performance under this Agreement has been made under such Responsible Officer’s 's supervision, and (ii) to the best of such Responsible Officer’s 's knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement in all material respects under this Agreement throughout such twelve months (or, in the case of the Certificate of Compliance to be delivered on or before March 31, 2006, 2003 the period of time from the date of this Agreement until December 31, 20052002), or, if there has been a failure to fulfill default in the fulfillment of any such obligation in any material respectobligation, specifying each such failure material default known to such Responsible Officer and the nature and status thereof.

Certificate of Compliance. Certificate of Compliance. The Servicer shall deliver to ------------ ------------------------- the Note Issuer, the Note Trustee, the Certificate Trustee Trustee, the Infrastructure Bank and the Rating Agencies Xxxxx'x on or before March 31 September 30 of each year, commencing March 31September 30, 2006 1999 to and including the March 31 September 30 succeeding the Retirement of the Notes, an Officer’s 's Certificate substantially in the form of Exhibit A B hereto (a “"Certificate of Compliance”"), stating that: that (i) a review of the activities of the ------------------------- Servicer during the twelve months ended the preceding December 31 June 30 (or, in the case of the first Certificate of Compliance to be delivered on or before March 31September 30, 20061999, the period of time from the date of this Agreement until December 31June 30, 20051999) and of its performance under this Agreement has been made under such Responsible Officer’s supervision, officer's supervision and (ii) to the best of such Responsible Officer’s officer's knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement in all material respects under this Agreement throughout such twelve months (or, in the case of the Certificate of Compliance to be delivered on or before March 31September 30, 20061999, the period of time from the date of this Agreement until December 31June 30, 20051999), or, if there has been a failure to fulfill default in the fulfillment of any such obligation in any material respectobligation, specifying each such failure material default known to such Responsible Officer officer and the nature and status thereof.

The Servicer shall deliver to the Grantee, the Note Issuer, the Note Trustee, the Certificate Indenture Trustee and the Rating Agencies on or before March 31 September 30 of each year, commencing March 31September 30, 2006 1999 to and including the March 31 September 30 succeeding the Retirement of the Notes, an Officer’s 's Certificate substantially in the form of Exhibit A EXHIBIT B hereto (a “"Certificate of Compliance”"), stating that: (i) a review of the activities of the Servicer during the twelve months ended the preceding December 31 June 30 (or, in the case of the first Certificate of Compliance to be delivered on or before March 31September 30, 20061999, the period of time from the date of this Agreement Closing Date until December 31June 30, 20051999) and of its performance under this Agreement has been made under such Responsible Officer’s officer's supervision, and (ii) to the best of such Responsible Officer’s officer's knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement in all material respects under this Agreement throughout such twelve months (or, in the case of the Certificate of Compliance to be delivered on or before March 31September 30, 20061999, the period of time from the date of this Agreement Closing Date until December 31June 30, 20051999), or, if there has been a failure to fulfill default in the fulfillment of any such obligation in any material respectobligation, specifying each such failure material default known to such Responsible Officer officer and the nature and status thereof.

The Servicer shall deliver to the Note Issuer, the Note Trustee, the Certificate Indenture Trustee and the Rating Agencies on or before March 31 [June 30] of each year, commencing March 31[June 30, 2006 2001] to and including the March 31 [June 30] succeeding the Retirement of the Notes, an Officer’s 's Certificate substantially in the form of Exhibit A B hereto (a “"Certificate of Compliance”"), stating that: (i) a review of the activities of the Servicer during the twelve months ended the preceding December 31 [March 31] (or, in the case of the first Certificate of Compliance to be delivered on or before March 31[June 30, 20062001] , the period of time from the date of this Agreement until December [March 31, 20052001]) and of its performance under this Agreement has been made under such Responsible Officer’s officer's supervision, and (ii) to the best of such Responsible Officer’s officer's knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement in all material respects under this Agreement throughout such twelve months (or, in the case of the Certificate of Compliance to be delivered on or before March 31[June 30, 20062001], the period of time from the date of this Agreement until December [March 31, 20052001]), or, if there has been a failure to fulfill material default in the fulfillment of any such obligation in any material respectobligation, specifying each such failure default known to such Responsible Officer officer and the nature and status thereof.

The Servicer shall deliver to the Note Issuer, the Note Trustee, the Certificate Trustee and the Rating Agencies on or before March 31 of each year, commencing March 31, 2006 2000 to and including the March 31 succeeding the Retirement of the Notes, an Officer’s 's Certificate substantially in the form of Exhibit A hereto (a “"Certificate of Compliance”"), stating that: (i) a review of the activities of the Servicer during the twelve months ended the preceding December 31 (or, in the case of the first Certificate of Compliance to be delivered on or before March 31, 20062000, the period of time from the date of this Agreement until December 31, 20051999) and of its performance under this Agreement has been made under such Responsible Officer’s 's supervision, and (ii) to the best of such Responsible Officer’s 's knowledge, based on such review, the Servicer has fulfilled all of its material obligations under this Agreement in all material respects under this Agreement throughout such twelve months (or, in the case of the Certificate of Compliance to be delivered on or before March 31, 2006, the period of time from the date of this Agreement until December 31, 2005), or, if there has been a failure to fulfill any such obligation in any material respect, specifying each such failure known to such Responsible Officer and the nature and status thereof.Compliance

Certificate of Compliance. The With respect to each Series of Bonds, the Servicer shall deliver to the Note Issuer, the Note Trustee, the Certificate Trustee CPUC and the Rating Agencies on or before March 31 September 30 of each year, commencing March 31September 30, 2006 2005 to and including the March 31 September 30 succeeding the Retirement of the NotesDate, an Officer’s Certificate substantially in the form of Exhibit A hereto (a “Certificate of Compliance”), stating that: (i) a review of the activities of the Servicer during the twelve months ended the preceding December 31 June 30 (or, in the case of the first Certificate of Compliance to be delivered on or before March 31September 30, 20062005, the period of time from the date of this Agreement Closing Date until December 31June 30, 2005) and of its performance under this Agreement has been made under such Responsible Officerofficer’s supervision, and (ii) to the best of such Responsible Officerofficer’s knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement in all material respects under this Agreement throughout such twelve months (or, in the case of the Certificate of Compliance to be delivered on or before March 31September 30, 20062005, the period of time from the date of this Agreement Closing Date until December 31June 30, 2005), or, if there has been a failure to fulfill default in the fulfillment of any such obligation in any material respectobligation, specifying each such failure material default known to such Responsible Officer officer and the nature and status thereof.

The Servicer shall deliver to ------------------------- the Note Issuer, the Note Trustee, the Certificate Trustee Trustee, the Infrastructure Bank and the Rating Agencies on or before March 31 September 30 of each year, commencing March 31September 30, 2006 1998 to and including the March 31 Septem ber 30 succeeding the Retirement of the Notes, an Officer’s 's Certificate substantially in the form of Exhibit A B hereto (a “"Certificate of Compliance”"), stating that: (i) a review of the activities of the Servicer during the twelve months ended the preceding December 31 June 30 (or, in the case of the first Certificate of Compliance to be delivered on or before March 31September 30, 20061998, the period of time from the date of this Agreement until December 31June 30, 20051998) and of its performance under this Agreement has been made under such Responsible Officer’s officer's supervision, and (ii) to the best of such Responsible Officer’s officer's knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement in all material respects under this Agreement throughout such twelve months (or, in the case of the Certificate of Compliance to be delivered on or before March 31September 30, 20061998, the period of time from the date of this Agreement until December 31June 30, 20051998), or, if there has been a failure to fulfill default in the fulfillment of any such obligation in any material respectobligation, specifying each such failure material default known to such Responsible Officer officer and the nature and status thereof.

Certificate of Compliance. The Servicer shall deliver to the Note Issuer, the Note Trustee, the Certificate Indenture Trustee and the Rating Agencies on or before March 31 30 of each year, commencing March 3130, 2006 2003 to and including the March 31 30 succeeding the Retirement of the Notes, an Officer’s 's Certificate substantially in the form of Exhibit A B hereto (a “"Certificate of Compliance”"), stating that: (i) a review of the activities of the Servicer during the twelve months ended the preceding December 31 (or, in the case of the first Certificate of Compliance to be delivered on or before March 3130, 20062003, the period of time from the date of this Agreement until December 31, 20052002) and of its performance under this Agreement has been made under such Responsible Officer’s officer's supervision, and (ii) to the best of such Responsible Officer’s officer's knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement in all material respects under this Agreement throughout such twelve months (or, in the case of the Certificate of Compliance to be delivered on or before March 3130, 20062003, the period of time from the date of this Agreement until December 31, 20052002), or, if there has been a failure to fulfill any such obligation in any material respectServicer Default or an event which with the giving of notice, the lapse of time, or both, would become a Servicer Default, specifying each such failure default or event known to such Responsible Officer officer and the nature and status thereof.
