Certain Representations and Warranties by Warrxx Xxxxxxx. Xxrrxx Xxxxxxx xxxresents and warrants to the Company that (i) this Agreement has been duly executed and delivered by him and constitutes his legal, valid and binding obligation, enforceable against him in accordance with its terms, (ii) the execution, delivery, and performance by Warrxx Xxxxxxx xx this Agreement will not result in a violation or breach of, or constitute (with or without due notice or lapse of time or both) a default (or give rise to any right of termination, amendment, cancellation or acceleration) under, any of the terms, conditions or provisions of any note, bond, mortgage, indenture, lease, license, contract, agreement or other instrument or obligation to which Warrxx Xxxxxxx xx a party or by which any of his assets or properties may be bound, and (iii) the execution, delivery, and performance by him of this Agreement will not violate any order, writ, injunction, decree, statute, rule, or regulation applicable to him.
