Certain Obligations of the Corporation Following Termination of the Employment Period. Following termination of the Employment Period under the circumstances described below, the Corporation will pay to Executive the following compensation and provide the following benefits in addition to any benefits to which Executive may be entitled by law in full satisfaction and final settlement of any and all claims and demands that Executive or the Corporation may have against the other under this Agreement:

Certain Obligations of the Corporation Following Termination of the Employment Period. The following sentence shall be inserted to follow the last sentence in the ultimate paragraph of Section 10(ii) of the Employment Agreement: “The terms of this paragraph shall survive the termination of this Agreement and shall apply only to the options and other equity compensation awards granted to the Executive during the Employment Period of this Agreement.”

If termination shall occur prior to the Settlement Date for any sale of Shares, such sale shall nevertheless settle in accordance with the terms of this Agreement.
