Brokers, Finders, Other Offers. Except as set forth in Schedule 2.32, no finder, broker, agent, or other intermediary, acting on behalf of any Acquired Company, is entitled to a commission, fee, or other compensation or obligation in connection with the negotiation or consummation of this Agreement or any of the transactions contemplated hereby. None of the Acquired Companies or any of the Stockholders of the Company is subject to any letter of intent, agreement, understanding or commitment with any third party (other than Parent) or its agents
