Binding Appointment. The provisions of this Agreement, including without limitation Article XI hereof, shall be binding upon each Shareholder and the executors, heirs, legal representatives and successors of each Shareholder, and any references in this Agreement to a Shareholder shall mean and include the successors to the Shareholders’ rights hereunder, whether pursuant to testamentary disposition, the laws of descent and distribution or otherwise.
Binding Appointment. The provisions of this Agreement, including this ARTICLE 9, shall be binding upon each Seller and the executors, heirs, legal representatives and successors of each Seller, and any references in this Agreement to a Seller shall mean and include the successors to the Sellers’ rights hereunder, whether pursuant to testamentary disposition, the laws of descent and distribution or otherwise.
Binding Appointment. The provisions of this Agreement, including, without limitation, Article 10, shall be binding upon each Principal Stockholder and the executors, heirs, legal representatives and successors of each Principal Stockholder, and any references in this Agreement to a Principal Stockholder or the Principal Stockholders shall mean and include the successors to the Principal Stockholders’ rights hereunder, whether pursuant to testamentary disposition, the laws of descent and distribution or otherwise.
Binding Appointment. The provisions of this Agreement, including without limitation Article XI hereof, shall be binding upon each Fully-Diluted Stockholder and the executors, heirs, legal representatives and successors of each Fully-Diluted Stockholder, and any references in this Agreement to a Fully-Diluted Stockholder or the Fully-Diluted Stockholders shall mean and include the successors to the Fully-Diluted Stockholders’ rights hereunder, whether pursuant to testamentary disposition, the laws of descent and distribution or otherwise.
Binding Appointment. The provisions of this Agreement, including without limitation Article IX hereof, shall be binding upon each Securities Holder and the executors, heirs, legal representatives and successors of each Securities Holder, and any references in this Agreement to a Securities Holder or the Securities Holders shall mean and include the successors to the Securities Holders’ rights hereunder, whether pursuant to testamentary disposition, the laws of descent and distribution or otherwise.
Binding Appointment. The provisions of this Agreement, including this Section 10, shall be binding upon each Seller and the executors, heirs, legal representatives and successors of each Seller, and any references in this Agreement to a Seller shall mean and include the successors to the Sellers’ rights hereunder, as applicable, whether pursuant to testamentary disposition, the laws of descent and distribution or otherwise. The powers, immunities and rights to indemnification granted to the Sellers’ Representative hereunder: (i) are coupled with an interest and shall be irrevocable and survive the death, incompetence, bankruptcy or liquidation of the Sellers and shall be binding on any successor thereto, and (ii) shall survive the delivery of an assignment by any Seller of the whole or any fraction of his, her or its interest in the Escrow Funds.
Binding Appointment. The provisions of this Section 1C.3 shall be binding upon each Company Stockholder (other than Company Stockholders holding Dissenting Shares) and the executors, heirs, legal representatives and successors of each such Company Stockholder, and any references in this Agreement to a Company Stockholder or the Company Stockholders shall mean and include the successors to such Company Stockholder’s or Company Stockholders’ rights hereunder, whether pursuant to testamentary disposition, the laws of descent and distribution or otherwise.
Binding Appointment. The provisions of this Agreement, including this ARTICLE X, shall be binding upon each Securityholder and the executors, heirs, legal representatives and successors of each Securityholder, and any references in this Agreement to a Securityholder shall mean and include the successors to the Securityholders’ rights hereunder, whether pursuant to testamentary disposition, the laws of descent and distribution or otherwise.
