Bill xx Sale and Assignment. Bills of Sale and Assignment executed by Shareholders to sell, assign, and set over to Buyer all of their respective rights, title, and interests as a partner in Ft. Pitt Partners I, a Pennsylvania general partnership.
Bill xx Sale and Assignment. Three (3) original counterparts of the Bill xx Sale and Assignment in the form of Exhibit "J" attached hereto, each executed by Seller, pursuant to which Seller shall transfer to Buyer all the Personal Property and the Intangible Property, including, without limitation, the Property Documents, but excluding the Tenant Leases, in each case free of all liens and encumbrances;
Bill xx Sale and Assignment. Seller shall have executed and delivered a counterpart of the Bill xx Sale.
Bill xx Sale and Assignment. Buyer shall have received from Seller a Bill xx Sale transferring title to the Assets, in form and substance satisfactory to Buyer.
Bill xx Sale and Assignment. The Sellers shall have executed and delivered the Bill xx Sale and Assignment in substantially the form attached hereto as Exhibit "F" attached to this Agreement.
Bill xx Sale and Assignment. Purchaser shall have delivered an executed counterpart of the bill xx sale, assignment and assumption agreement in the form attached hereto as Exhibit D (the "Bill xx Sale").
Bill xx Sale and Assignment. A Special Warranty Bill xx Sale and Assignment in form reasonably acceptable to Buyer and Seller conveying the Tangible Property and Intangible Property, subject to the Permitted Exceptions. The form of this Agreement shall be agreed upon by Buyer and Seller during the Buyer's Examination Period; provided, however, that Buyer shall be obligated to assume therein all of Seller's obligations under all the Guaranties, Warranties and Service Agreements constituting part of the Intangible Property, but only to the extent same is delivered to Buyer as part of the Inspection Items.
Bill xx Sale and Assignment. A bill xx sale and assignment in the form of Exhibit E attached hereto, executed by Seller, conveying the Personal Property, Warranties, Permits, Plans and Intangible Property to Buyer, without representation or warranty of any kind whatsoever.
Bill xx Sale and Assignment. Hondo shall have executed and delivered the Bill xx Sale and Assignment covering the Drilling Rigs, Equipment and Vehicles in the form attached hereto as Exhibit A.
