Equipment and Vehicles. (a) To Shareholder’s Knowledge, Schedule 4.9(a) contains complete and accurate lists of the following assets owned by the Company as of the date of this Agreement: (i) all Equipment (excluding IT Equipment) having an original purchase price of more than $5,000, and where information is readily ascertainable, identifying each piece of Equipment by manufacturer, description, model number, serial number and location; (ii) all IT Equipment having an original purchase price of more than $1,000, and where information is readily ascertainable, identifying each piece of IT Equipment by manufacturer, description, model number, serial number and location; and (iii) all Vehicles, identifying each Vehicle by make, year, vehicle identification number and location.
Equipment and Vehicles. (a) Schedule 4.8(a) contains complete and accurate lists of the following assets owned by the Company as of the date of this Agreement and used or held for use in the Business:
Equipment and Vehicles. All equipment and vehicles provided by the Employer shall be in safe working and good operating condition, and the equipment therein (e.g. air conditioning, fans, etc.) shall be in good working condition.

Except as disclosed on Schedule 2.12 attached hereto (i) Seller has good title to all of the Equipment and the Vehicles, (ii) the Equipment and the Vehicles are free and clear of all Encumbrances, other than Permitted Encumbrances, (iii) the Equipment and the Vehicles include all material tangible personal property Seller used in the operation of the Business during the twelve (12) month period immediately prior to the date of this Agreement, except for tangible personal property disposed of in the ordinary course of business prior to April 1, 2010, and (iv) the Equipment and the Vehicles are in good order, repair and operating condition, subject only to the effects of ordinary wear and tear and depreciation arising from lapse of time or normal and proper use.
Equipment and Vehicles. The Contractor shall take all necessary precautions for safe operation of his equipment and the protection of the public from injury and damage from such equipment. All equipment deemed by City Representative to be unsafe, in disrepair, or unsatisfactory shall be repaired or replaced immediately. All vehicles shall have the Contractor’s name clearly visible.
Equipment and Vehicles. SECTION 1: The Borough shall equip each patrol vehicle within the Patrol Division with such equipment as shall be deemed necessary by the Chief of Police.

Equipment and Vehicles. The CITY transferred ownership of certain equipment and vehicles to BSO pursuant to the original Agreement for Law enforcement and Fire rescue Services. In the event of termination or upon the expiration of the contractual relationship between the BSO and the CITY for Police Services, BSO shall return the vehicles and equipment previously transferred or a like kind replacement, which must be of a like quality, design, and condition as upon delivery, normal wear and tear excepted, with the title to the Fire Rescue vehicles free of all liens and encumbrances. In the event of termination or upon the expiration of this Agreement, the CITY may request to purchase from BSO any piece of equipment, including police vehicles owned by BSO that were not previously transferred by CITY to BSO and that is directly attributable to or in use by the Xxxxxx City District at the time of such termination or expiration in connection with the services contemplated herein. The purchase price for such equipment shall be determined by mutual agreement of the parties based on the fair market value of such equipment at the time of the CITY’s election to purchase. Upon termination or expiration of this Agreement, all equipment and vehicles shall remain in service within the CITY until such time as the CITY and BSO execute such documents as are necessary to transfer liability for such vehicles and/or equipment from BSO to the CITY at the time the CITY takes possession of such vehicles and/or equipment. Upon the parties reaching a mutual agreeable purchase price for the equipment pursuant to this Section, and payment by the CITY, BSO shall convey all of its rights, title and interest, thereto, including police vehicles, to the CITY by Bill of Sale Absolute or Certificate of Title, as applicable.
