AUTHORITY AND DUTIES OF GENERAL AGENT. A. LICENSING AND APPOINTMENT OF SUB-AGENTS General Agent is authorized to appoint sub-agents ("Sub-agents") to solicit sales of the Contracts. General Agent agrees to fulfill all requirements set forth in the General Letter of Recommendation attached as Schedule A hereto in conjunction with its submission of licensing and appointment papers for all Sub- agents. General Agent warrants that it and all of its Sub-agents appointed pursuant to this Agreement shall not solicit nor aid, directly or indirectly, in the solicitation of any application for any Contract until they are fully licensed by the proper authorities under the applicable insurance laws within the applicable jurisdictions where General Agent and Sub-agents propose to offer the Contracts, where Pacific Mutual is authorized to conduct business and where the Contracts may be lawfully sold. General Agent shall periodically provide Pacific Mutual with a list of all Sub-agents appointed by General Agent and the jurisdictions where such Sub- agents are licensed to solicit sales of the Contracts. Pacific Mutual shall periodically provide General Agent with a list which shows; (i) the jurisdictions where Pacific Mutual is authorized to do business; and (ii) any limitations on the availability of the Contracts in any of such jurisdictions. General Agent shall prepare and transmit the appropriate appointment forms to Pacific Mutual. General Agent shall pay all fees to state insurance regulatory authorities in connection with obtaining necessary licenses and authorizations for Sub-agents to solicit and sell the Contracts. Pacific Mutual will pay appointment fees for General Agent and resident appointment fees for Sub-agents. Non-resident appointment fees for Sub-agents will be paid by the General Agent. All renewal appointment fees will be paid by the General Agent for Sub-agents who have generated less than $20,000 target premium within the prior 12 months. Pacific Mutual may refuse for any reason to apply for the appointment of a Sub- agent and may cancel any existing appointment at any time.

AUTHORITY AND DUTIES OF GENERAL AGENT. A. Licensing and Appointment of Producers General Agent is authorized to appoint Producers to solicit sales of the Contracts. General Agent warrants that all Producers appointed by General Agent pursuant to this Agreement shall not solicit nor aid, directly or indirectly, in the solicitation of any application for any Contract until that Producers is fully licensed under New York insurance law and, in connection with securities regulated Contracts, is a fully registered representation of Selling Broker-Dealer. General Agent shall prepare and transmit the appropriate licensing and appointment forms to CLNY. General Agent shall pay all fees to state insurance regulatory authorities in connection with obtaining necessary licenses and appointments for Producers. All fees payable to regulatory authorities in connection with the initial CLNY appointment of producers who already possess necessary insurance licenses shall be paid by General Agent. Any renewal license fees due after the initial appointment shall be paid by General Agent. General Agent shall periodically provide CLNY with a list of all Producer appointed by General Agent and the jurisdictions where such Producers are licensed to solicit sales of the contracts. General Agent agrees to fulfill all requirements set forth in the General Letter or Recommendation attached as Exhibit A in conjunction with the submission of licensing and appointment papers for all applicants as Producers submitted by General Agent.

General Agent agrees to fulfill all requirements set forth in the General Letter of Recommendation attached as Exhibit A in conjunction with the submission of licensing and appointment papers for all applicants as Producers submitted by General Agent.

Manulife New York shall periodically provide General Agent with a list which shows: 1) the jurisdiction where Manulife New York is authorized to do business; and 2) any limitations on the availability of the Contracts in any of such jurisdictions. General Agent agrees to fulfill all requirements set forth in the General Letter of Recommendation attached as Exhibit A in conjunction with the submission of licensing and appointment papers for all applicants as sub-agents submitted by General Agent.

  • Appointment Authority and Duties of Agent 12.1.1. Each Lender hereby irrevocably appoints and designates Fleet as Agent to act as herein specified. Agent may, and each Lender by its acceptance of a Note shall be deemed irrevocably to have authorized Agent to, enter into all Loan Documents to which Agent is or is intended to be a party and all amendments hereto and all Security Documents at any time executed by Borrower, for its benefit and the Pro Rata benefit of Lenders and, except as otherwise provided in this Section 12, to exercise such rights and powers under this Agreement and the other Loan Documents as are specifically delegated to Agent by the terms hereof and thereof, together with such other rights and powers as are reasonably incidental thereto. Each Lender agrees that any action taken by Agent or the Required Lenders in accordance with the provisions of this Agreement or the other Loan Documents, and the exercise by Agent or the Required Lenders of any of the powers set forth herein or therein, together with such other powers as are reasonably incidental thereto, shall be authorized and binding upon all Lenders. Without limiting the generality of the foregoing, Agent shall have the sole and exclusive right and authority to (a) act as the disbursing and collecting agent for Lenders with respect to all payments and collections arising in connection with this Agreement and the other Loan Documents; (b) execute and deliver as Agent each Loan Document and accept delivery of each such agreement delivered by Borrower or any other Obligor; (c) act as collateral agent for Lenders for purposes of the perfection of all security interests and Liens created by this Agreement or the Security Documents with respect to all material items of the Collateral and, subject to the direction of the Required Lenders, for all other purposes stated therein, provided that Agent hereby appoints, authorizes and directs each Lender to act as a collateral sub-agent for Agent and the other Lenders for purposes of the perfection of all security interests and Liens with respect to Borrower's Deposit Accounts maintained with, and all cash and Cash Equivalents held by, such Lender; (d) subject to the direction of the Required Lenders, manage, supervise or otherwise deal with the Collateral; and (e) except as may be otherwise specifically restricted by the terms of this Agreement and subject to the direction of the Required Lenders, exercise all remedies given to Agent with respect to any of the Collateral under the Loan Documents relating thereto, Applicable Law or otherwise. The duties of Agent shall be ministerial and administrative in nature, and Agent shall not have by reason of this Agreement or any other Loan Document a fiduciary relationship with any Lender (or any Lender's participants). Unless and until its authority to do so is revoked in writing by Required Lenders, Agent alone shall be authorized to determine whether any Accounts or Inventory constitute Eligible Accounts or Eligible Inventory (basing such determination in each case upon the meanings given to such terms in Appendix A), or whether to impose or release any reserve, and to exercise its own credit judgment in connection therewith, which determinations and judgments, if exercised in good faith, shall exonerate Agent from any liability to Lenders or any other Person for any errors in judgment.
