Authorisations and capacity of TPI. 5.1 The Company irrevocably and unconditionally appoints TPI as its agent for the purposes of effecting the Placing and, in conjunction with the Company’s nominated adviser, the Admission Application, and to do all things on behalf of the Company which may be necessary or desirable in connection with the Placing and Admission, including the power to appoint agents to act on its behalf in connection with its obligations under this Agreement, provided that the identity of such agents is approved in advance by the Company in writing, such approval not to be unreasonably withheld or delayed and reasonably confirms that the foregoing appointment confers on TPI all powers, authorities and discretions on behalf of the Company which are necessary for or reasonably incidental to the making of the Placing (on the basis set out in this Agreement) and the Admission Application..
