Attorneys’ and Other Fees. Should either party institute any action or proceeding to enforce or interpret this Agreement or any provision hereof, for damages by reason of any alleged breach of this Agreement or any provision hereof, or for a declaration of rights hereunder, the prevailing party in any such action or proceeding shall be entitled to receive from the other party all costs and expenses, including actual attorneys’ and other fees, reasonably incurred in good faith by the prevailing party in connection with such action or proceeding. The term “attorneys’ and other fees” shall mean and include attorneys’ fees, accountants’ fees, and any and all consultants and other similar fees incurred in connection with the action or proceeding and preparations therefor. The term “action or proceeding” shall mean and include actions, proceedings, suits, arbitrations, appeals and other similar proceedings.
Attorneys’ and Other Fees. All sums reasonably incurred by Landlord in connection with an Event of Default or holding over of possession by Tenant after the expiration or termination of this Lease, including, but not limited to, all costs, expenses and actual accountants’, appraisers’, attorneys’ and other professional fees, and any collection agency or other collection charges, shall be due and payable by Tenant to Landlord on demand, and shall bear interest at the Applicable Rate from the date of such demand until paid by Tenant. In addition, if any action shall be instituted by either of the parties hereto for the enforcement of any of its rights in and under this Lease, the party in whose favor judgment shall be rendered shall be entitled to recover from the other party all expenses reasonably incurred by the prevailing party in such action, including actual costs and reasonable attorneys’ fees.
Attorneys’ and Other Fees. Any attorney’s fees, costs or disbursements incurred by Landlord to secure monies and/or possession from Tenant shall be paid by Tenant to Landlord, and may be deducted from any deposits or other monies of Tenant held by Landlord to the extent that such monies are available. Xxxxxx further agrees to be liable for any fines or penalties for violation of any applicable law and/or municipal codes, ordinances, and regulations, when such violations are attributable to Tenant, his guests, invitees or licensees.

The term "ATTORNEYS' AND OTHER FEES" shall mean and include attorneys' fees, accountants' fees, and any and all consultants' and other similar fees incurred in connection with the action or proceeding and preparations therefor. The term "ACTION OR PROCEEDING" shall mean and include actions, proceedings, suits, arbitrations, appeals and other similar proceedings.

In the event of any dispute between the parties hereto or institution of any action or proceeding to interpret or enforce the provisions of this Partial Assignment or arising out of the subject matter of this Partial Assignment or the transaction contemplated hereby, the prevailing party shall be entitled to recover from the losing party all of its costs and expenses incurred, including court costs and reasonable attorney’s fees and expert witness fees.
Attorneys’ and Other Fees. In the event of any dispute between the Assignor and Assignee or institution of any action or proceeding between Assignor and Assignee to interpret or enforce the provisions of this Assignment, or arising out of the subject matter of this Assignment or the transaction contemplated hereby, the prevailing party shall be entitled to recover its reasonable expenses, attorneys’ fees and costs, including professional or expert consultation or testimony fees, both at trial and on any appeal and in any administrative proceeding.
