ASSIXXXXXX. 0.0 Xxx xxxxx xxxxxxxx, xxxxxxx of which is acknowledged, Assignor hereby assigns and sets over to Assignee, its successors and assigns, all of Assignor's right, title and interest in all amounts now due or owing, and that subsequently may be due or owing, by the United States of America or from any agency or department thereof (the "Government"), pursuant to that certain Contract No. ______________ dated ______ between Assignor and _____________ (the "Contract").
ASSIXXXXXX. Xxxther this Agreement nor any of the rights, interests or obligations hereunder shall be assigned by any party, nor is this Agreement intended to confer upon any other person except the parties hereto any rights or remedies hereunder.
ASSIXXXXXX. Xxxx Xxxxxxxxx xxxxx xx xxxxxxx xxxx xxx xxxxx to the benefit of the parties hereto, their respective successors and assigns, and, to the extent required by Section 43, the directors, officers and Rollins M. Koppel, but shall not be assigned by any party without the xxxxx xrxxxxx xxxsent of the other party.
ASSIXXXXXX. Xxxxxer Party shall have the right to assign this Agreement without the other Party's prior written consent, which consent shall not be unreasonably withheld or delayed. Notwithstanding the foregoing, Melody may assign its rights and obligations under this Agreement after the First Closing to an entity which is owned or controlled by Melody's parent company, D.R. Horton, Inc. without xxxxxxxxx Buffalo Highlands consent, but Melody shall promptly provide Buffalo Highlands written notice of such assignment.
