Appointment of Subscription Agent. You are hereby appointed as Subscription Agent to effect the Rights Offering in accordance with the Prospectus. Each reference to you in this letter is to you in your capacity as Subscription Agent unless the context indicates otherwise.
Appointment of Subscription Agent. The Company hereby appoints the Subscription Agent to act as agent for the Company in accordance with the instructions set forth in this Agreement, and the Subscription Agent hereby accepts such appointment.

The Rights Offering will be conducted in the manner and upon the terms as set forth in the Prospectus constituting a part of the Registration Statement as declared effective by the Securities and Exchange Commission and as amended (the "Prospectus"), which is incorporated herein by reference and made a part hereof as if set forth in full herein. The Subscription Agent is hereby appointed as subscription agent to effect the Rights Offering in accordance with the Prospectus, and the Subscription Agent hereby accepts such appointment. Each reference to the Subscription Agent in this Agreement is to the Subscription Agent in its capacity as subscription agent unless the context indicates otherwise.
Appointment of Subscription Agent. The Company hereby appoints the Subscription Agent to act as registrar and agent for the Company in accordance with the instructions hereinafter set forth; and the Subscription Agent hereby accepts such appointment, upon the terms and conditions hereinafter set forth. The Subscription Agent shall act in conjunction with SunTrust Bank or any successor transfer agent appointed by the Company (the "Transfer Agent") in distributing Subscription Certificates to stockholders and other subscribers.
Appointment of Subscription Agent. ATLANTIC hereby appoints the Subscription Agent to act as agent for ATLANTIC in accordance with the instructions set forth in this Agreement, and the Subscription Agent hereby accepts such appointment. ATLANTIC may from time to time appoint such co- subscription agents as it may deem necessary or desirable.
Appointment of Subscription Agent. The Corporation hereby confirms the appointment of Broadridge as Agent, and Broadridge hereby agrees to serve as Agent, upon the terms and conditions set forth herein. 2.
Appointment of Subscription Agent. The Company hereby appoints the Subscription Agent to act as agent for the Company in accordance with the instruction set forth in this Agreement, and the Subscription Agent hereby accepts such appointment. The duties of the Subscription Agent shall include those contemplated by the Rights Exercise Agreement and Instructions as to Use of Alpha Technologies Group, Inc. Rights Exercise Agreement included as Exhibit 99.6 to the Registration Statement and those forth on Exhibit A hereto.
Appointment of Subscription Agent. The Company hereby appoints the Subscription Agent as its agent to distribute the Prospectus and issue the Rights Certificates and certificates evidencing the shares of Stock purchased when any Right is validly exercised (the "Stock Certificates"), as set forth herein, subject to resignation or replacement of the Subscription Agent as provided herein. The Subscription Agent agrees to accept such appointment, subject to the terms and conditions as set forth herein and deliver the Prospectus to the Company's shareholders of record as of the Record Date and to issue and exchange the Rights Certificates pursuant to the terms provided for herein and to issue the Stock Certificates representing the appropriate number of shares of Stock (or other consideration as provided in Section 4 below) upon exercise of the Rights. The Company agrees to issue and honor the Rights on the terms and conditions as herein set forth. The Subscription Agent is hereby empowered to enforce any rights of the Holders for the benefit of any Holders, subject to the terms and conditions contained herein.
Appointment of Subscription Agent. The Company hereby appoints the Bank as the subscription agent (the "Subscription Agent") for the Subscription Offering. As Subscription Agent, the Bank hereby agrees to perform the following services for the Company in accordance with the terms of the Prospectus:
