Applicability of Section 12. The provisions of this Section 12 shall apply during any and each period(s) in which TDCC and/or any Person affiliated with TDCC (in TDCC’s good faith determination) is required to consolidate the results of operations and financial position of the Company and/or any of its Subsidiaries or to account for its or its Subsidiary’s investment in the Company under the equity method of accounting (determined in accordance with GAAP and consistent with the SEC reporting requirements).
