AGREEMENT OF EMPLOYMENT; EFFECTIVE DATE. The Company agrees to employ the Employee, and the Employee agrees to serve the Company, as its Chief Executive Officer and Chairman of the Company's Board of Directors, upon the terms and conditions hereinafter set forth.
