Advice of Claims. From the date of this Agreement to and including the Closing Date, Seller will promptly advise Buyer in writing of the commencement or threat of any claims, litigation or proceedings against or affecting Seller or the Assets, or any event that makes or is likely to make any representation or warranty untrue, of which Seller has notice or knowledge.

From October 28, 1996 to and including the Closing Date, each of Telcom and WVA shall (and shall cause the WVA Subsidiaries to) promptly advise MIL in writing if it has notice or knowledge of the commencement or threat of any Claims against or affecting WVA or the WVA Subsidiaries or any rulings, decrees or other material developments in any Claim described on Schedule 4.16 or arising after October 28, 1996. From the date of this Agreement to and including the Closing Date, Rare Medium shall promptly advise DigitalFacades in writing of the commencement or threat of any material claims, litigation or proceedings against or affecting Rare Medium or ICC of which Rare Medium or ICC has knowledge.

From the effective date of this Agreement to and including the Closing Date, REI will promptly advise RETI in writing of the commencement or threat of any claims, litigation or proceedings against or affecting REI or the Assets, or any event that makes or is likely to make any representation or warranty untrue, of which REI or Larry Cooper or Scott Webber have notice or knowledge.
Advice of Claims. From the date of this Agreement to and including the date of the Second Closing, each party shall promptly advise the other of the commencement or notice of any material litigation or proceeding affecting the Products of which it has knowledge.
