Actions of Purchaser at Closing. At Closing, Purchaser shall execute and deliver to Seller an undertaking (in form and content approved by counsel to Seller provided such approval is not unreasonably withheld, delayed or denied) pursuant to which Purchaser assumes and agrees to pay and discharge in due course the Deposits being assumed and to assume, pay, discharge, perform and fulfill all obligations under the Leases and Contracts from and after the Closing Date as herein provided.
