Common use of Acceptance of Deed Clause in Contracts

Acceptance of Deed. The acceptance of a Deed by the BUYER or his nominee, as the case may be, and the consummation of the transaction set forth herein shall be deemed to be a full performance and discharge of every agreement and obligation of SELLER herein contained or expressed. Obligations of SELLER or BUYER as expressly stated as “surviving the Closing” shall survive, as the same may be limited herein.

Acceptance of Deed. The Purchaser hereby acknowledges and agrees that the acceptance of a the Deed (as hereinafter defined) by the BUYER or his nominee, as the case may be, and the consummation of the transaction set forth herein Purchaser shall be deemed to be a full performance and discharge of every agreement and obligation on the part of SELLER Seller to be performed under this Agreement except those, if any, which are herein contained specifically stated to survive delivery of the Deed. No agreement or expressed. Obligations representation or warranty made in this Agreement by Seller will survive the Closing and the delivery of SELLER or BUYER as the Deed, unless expressly stated as “surviving the Closing” shall survive, as the same may be limited hereinprovided otherwise.
