106 Notice To Company and Members. Each Transferring Holder shall give written notice to the Company and to the other Members within thirty (30) days of the occurrence of any event described in Section 13.2. Such notice shall be sent, return receipt requested, to a Manager of the Company other than the Transferring Holder, at the Company's principal administrative office. The Company's Secretary shall also send the notice to each Member at the most recent address reflected on the Company's Required Records or such other address as the party giving notice has reason to know is more current. If the Transferring Holder fails or refuses to give such notice, the Company or any Member may do so as soon as it has the information required to be given in such notice. Each such notice shall contain the following information:

  • Condition to Company Action The Company will not take any action that consummates or finalizes a Change in Control unless (i) at least 15 Business Days prior to such action it shall have given to each holder of Notes written notice containing and constituting an offer to prepay Notes as described in subparagraph (c) of this Section 8.7, accompanied by the certificate described in subparagraph (g) of this Section 8.7, and (ii) contemporaneously with such action, it prepays all Notes required to be prepaid in accordance with this Section 8.7.

  • Paper Notice to Contract Owners The Company shall be responsible for providing to its Contract Owners a paper Notice that meets the conditions of paragraphs (c) and (d) of Rule 30e-3.
