PROPIEDAD INDUSTRIAL E INTELECTUAL. EL PROVEEDOR será responsable de cualquier violación o uso indebido de cualquier derecho de propiedad industrial o intelectual o en posesión directa o indirectamente de un xxxxxxx, ya sea dentro de la República Dominicana o del extranjero, que pudiera derivarse de las mercancías y/o servicios objeto del presente Pedido de Compra. Por lo anterior EL PROVEEDOR se obliga a defender proteger y sacar en paz y a salvo a UNILEVER de cualquier contingencia legal así como a indemnizarlo de cualquier gasto y pérdida incluyendo gastos judiciales y honorarios de abogados que se deriven o provengan de cualquier reclamación por este concepto. 7) RESPONSABILIDAD LABORAL : EL PROVEEDOR manifiesta que el personal que contrate para la entrega de mercancía y/o prestación de servicio queda bajo su estricta y exclusiva responsabilidad, dirección, dependencia y subordinación económica y laboral; estableciéndose desde ahora que UNILEVER no tiene relación de carácter civil, labora l o de cualquier otra índole con las personas físicas y/x xxxxxxx que EL PROVEEDOR contrate para la ejecución de este Pedido de Compra, por lo que se obliga con UNILEVER a sacarlo en paz y a salvo y a indemnizar de cualquier acción o demanda de cualquier tipo, que algún xxxxxxx pudiera ejercer en su contra. 8)

To the extent the Work Product may not be considered work made by the Executive for hire for the Company, the Executive agrees to assign, and automatically assign at the time of creation of the Work Product, without any requirement of further consideration, any right, title, or interest the Executive may have in such Work Product. Upon the request of the Company, the Executive shall take such further actions, including execution and delivery of instruments of conveyance, as may be appropriate to give full and proper effect to such assignment.
