WPC Services definition

WPC Services means power and related services provided by ODEC to NOVEC pursuant to the NOVEC Wholesale Power Contract, but does not include any fee or charge for any new type of service not applied to any NOVEC ▇▇▇▇ prior to the Execution Date, unless (1) NOVEC consents to such service, fee or charge; (2) such service, fee or charge arises directly from a new law, regulation or other mandate from any governmental authority having jurisdiction, or (3) such service, fee or charge is applied to all ODEC members in a non-discriminatory manner, does not adversely distinguish NOVEC, and does not pertain to a matter that will not be effective before the Closing Date.

  • WPC shall perform the WPC Services and shall require all of its employees and any agents or subcontractors furnishing WPC Services, to exercise reasonable care and diligence in providing WPC Services to CPC.
