The Variable Service Fee, or the Reduced Variable Service Fee, if applicable, is inclusive of all IS-16 FCC fees (including, but not limited to, registration fees, filing fees, regulatory fees, annual fees, etc.), other than fees that are associated with the nature of Customer’s usage (e.g., universal service fund fees) or as may be associated with any relocation, or effort to relocate the Satellite to an Alternative Location at Customer’s direction in accordance with Section 1.7 above.

The foregoing eighty percent (80%) limitation only applies to the Contract Year in which the Variable Service Fee accrues and not when such Variable Service Fee is paid.

Service Recipient will have the right, at its sole expense, to cause to be conducted at the end of the Term through one (1) independent third party a reasonable audit of the data, records or other pertinent information of Service Provider related to the basis for calculation of the Variable Service Fee.
