Underlying Trust Certificate definition

Underlying Trust Certificate means the certificate issued by the Underlying Trust to the Settlor hereunder, substantially in the form of Exhibit A hereto, evidencing the 100% beneficial interest in the Underlying Trust.
Underlying Trust Certificate means the trust certificate issued to the Issuer by the Underlying Trust pursuant to the Underlying Trust Agreement, evidencing a 100% beneficial ownership interest in the Underlying Trust.
