The Consultancy shall ensure that any computer equipment and associated software which it provides to the Consultancy Staff for the purpose of providing the Consultancy Services contains anti-virus protection with the latest released upgrade from time to time.
Furthermore, the Employment Business accepts no liability to the Consultancy for any losses, expenses or liabilities incurred by the Consultancy whether by reason of tax or other statutory or contractual liability to any third party arising from the Consultancy Services provided.
For the avoidance of doubt, where the Consultancy Services are performed overseas or offshore, the Consultancy is responsible for ensuring that it has all relevant and adequate insurances for the country in which the Consultancy Services are being performed and this must include as a minimum adequate travel insurance including repatriation cover.
The Consultancy shall be responsible to pay the Staff all sums due in respect of those days upon which the Consultancy Services provided are suspended pursuant to the Working Time Regulations 1998 or otherwise.
The consultant warrants that, to the best of its knowledge after making diligent inquiry, at the date of commencement of the Consultancy Services that no conflict with the interests of the procuring entity exists or is likely to arise in the performance of the Consultancy Services.
The Consultancy acknowledges that all copyright, trademarks, patents and other intellectual property rights deriving from the provision of the Consultancy Services, by the Consultancy, the Consultancy Staff and/or any third party to whom the Contract is assigned or sub-contracted, for the Client during the Assignment shall belong to the Client, save such rights as may be expressly owned or retained by the Consultancy and set out in the Schedule.
In the event that the contract between the Employment Business and the Client with regard to the Consultancy Services, or generally, is terminated or suspended for any reason the Consultancy Services shall cease or be suspended with immediate effect, without notice or pay in lieu of notice.
The Consultancy's obligation to provide the Consultancy Services shall be performed by one or more employees of the Consultancy as the Consultancy may consider appropriate (“the Staff”), but shall be project led as set out in Clause 1.
The Employment Business shall not be liable to the Consultancy in the event of termination or suspension of the Consultancy Services.
The Consultancy shall ensure that the Staff supplied to perform the Consultancy Services shall have the required skills, qualification and resources to provide the Consultancy Services to the required standard.
