All other persons and categories are excluded, such as employees covered under other collective bargaining agreements, maintenance personnel (e.g., Maintenance Engineers), transportation personnel (e.g., Drivers, Driver - Technicians) clerical personnel (e.g., Runners, Messengers, etc.), management/supervisory personnel (e.g., Associate Producers, Unit Managers, Technical Managers), and security personnel.
For the avoidance of doubt, any remuneration to the Technical Managers for their technical services and to the Technical Managers for their accounting services shall be paid directly by the Company or relevant Subsidiary to the relevant Technical Manager.
Any changes to an approved hazardous procedure must be mutually agreed to by the Astrotech and LMCLS Technical Managers prior to use.
Notwithstanding anything to the contrary contained herein, the Managers shall not be liable for any failure to timely provide the reports required hereunder so long as the Managers have otherwise complied with the provisions under this Clause 18(f); provided, however, the Managers may subcontract the services described in this Clause 18(f) to the Technical Managers.
Pursuant to Section 7.1 of the General Terms and Conditions, the representatives of LMCLS, the Spacecraft Customer, and Astrotech designated as Agreement Coordinators and Technical Managers are identified in Annex D, which is attached to and made part of this Exhibit.
Notwithstanding anything to the contrary, neither the Managers nor their Affiliates (being limited to the Technical Managers and TCMC ) or their respective employees shall be required to provide any information that is not in respect of the matters covered by, or services provided by the Mangers under, this Agreement.
Notwithstanding anything contained in this Agreement to the contrary, the Owners shall have no liability, through indemnification or otherwise, for any damages, losses, or claims of any kind whatsoever of the Managers arising from or in any way related to the acts or omissions of the Technical Managers, nor shall the Managers have any right to terminate this Agreement for any circumstance or event arising out of or in any way related to any acts or omissions of the Technical Managers.
For the avoidance of doubt, this Section 2.6 does not prohibit the engagement of Technical Managers by the Vessel Owners as contemplated by this Agreement.
Scandic may subcontract its duties hereunder to any other party, including Technical Managers (which may be evidenced in separate agreements between such Technical Managers and the Company) approved by the Company’s lenders if applicable loan documents so require; provided, however, that such parties execute any subordinations required by applicable loan documents, and further provided that the Scandic shall remain fully responsible for its performance hereof.
The Interim Manager shall monitor and coordinate with all Technical Managers and report to the Owner as to performance of each Vessel provided that the Owner has provided authority and access to the Interim Manager on all matters attended by any Technical Manager and/or any other person or Authorities whatsoever.
