Surviving Duties definition

Surviving Duties means any and all duties or obligations which are expressly stated to survive termination of this Agreement or Closing hereunder, including, without limitation, Purchaser's obligations contained in Section 4 hereof and any indemnity obligations set forth herein.

Examples of Surviving Duties in a sentence

  • Seller or Purchaser, as applicable, shall have the right to pursue all legal and equitable remedies with respect to Surviving Duties.

  • Notwithstanding anything to the contrary contained herein, Surviving Duties shall survive the Closing for a period of two (2) years following the Closing Date.

  • Further, for the avoidance of doubt, the restrictive covenants set forth in paragraph 6(d) of the Employment Agreement, along with any similar non-compete covenants found in any other employment agreements between Executive and the Company, are not Surviving Duties.

  • The stochastic term is identically and independently distributed across firms and locations following a double exponential (Type I extreme value) distribution.

  • For the avoidance of doubt, Executive expressly acknowledges and agrees that neither Company nor any of respective affiliates has any future obligations pursuant to the Employment Agreement (including any obligations with respect to severance pay or benefits), as that agreement has been terminated except for the Surviving Duties, and Executive has no entitlements pursuant to the Employment Agreement.

  • If Seller timely elects to terminate the Agreement as aforesaid, the Xxxxxxx Money shall be returned to Purchaser and neither party shall have any further rights, duties or obligations hereunder other than the Surviving Duties (hereinafter defined).

  • Nothing herein shall be construed as a waiver of or limit Seller's right to pursue all remedies against Purchaser at law and in equity with respect to Surviving Duties and any post-Closing obligations of Purchaser, including, without limitation, Purchaser's obligations under the Indemnity Agreement.
