Supplemental Servicer definition

Supplemental Servicer has the meaning set forth in the introductory paragraph hereof.
Supplemental Servicer means NCO Financial Systems, Inc. or another recognized third party collection firm selected by the Agent that is not an Affiliate of the Agent and is reasonably acceptable to the Borrower.
Supplemental Servicer. Greenwich, or any permitted successor or assign.

Examples of Supplemental Servicer in a sentence

  • The Supplemental Servicer shall appoint a nationally-recognized firm of independent accountants reasonably acceptable to the Certificate Insurers, the Trustee and the Servicer to serve as the verification agent (the "Verification Agent").

  • The Supplemental Servicer may assign its rights and obligations hereunder to any Person with the prior written consent of the Servicer and the Certificate Insurer with respect to the related Trust.

  • The Supplemental Servicer shall pay any reasonable and customary fees charged by the Trustee in connection with the issuance of any Supplemental Servicing Certificate or for effecting any transfer thereof.

  • This Amendment shall be binding upon and inure to the benefit of the parties hereto and their respective permitted successors and assigns notwithstanding any provision of any Pooling Agreement that might deem this Amendment to be binding only upon the Servicer or Supplemental Servicer.

  • The Supplemental Servicer shall not have any liability for any consequential, incidental, special, exemplary, punitive, or any similar, damages and each party hereto irrevocably and unconditionally waives any right it may have to claim or recover any such damages.

  • Notwithstanding anything to the contrary contained in this Amendment, the Servicer shall continue to be responsible for making each Delinquency Advance pursuant to Section 8.09(a) of each Pooling Agreement in the event the Supplemental Servicer fails to make any required Supplemental Advance on the date required hereunder.

  • The Supplemental Servicer hereby agrees to indemnify and hold each Trust and the Trustee harmless against any loss, liability, claim, damage or expense incurred in connection with any legal action or proceeding brought by any third party who has acquired an interest in any Supplemental Servicing Certificate.

  • In the event the Verification Agent disagrees with any amounts set for in the Supplemental Delinquency Advance Notice, it shall immediately notify the Supplemental Servicer and the Servicer of its findings.

  • To the extent requested by the Supplemental Servicer, the Verification Agent shall also review Disbursement Notices given by the Servicer.

Related to Supplemental Servicer

  • Supplemental Servicing Fee means, with respect to any Collection Period, all administrative fees, expenses and charges paid by or on behalf of Obligors, including late fees, prepayment fees and liquidation fees collected on the Receivables during such Collection Period but excluding any fees or expenses related to extensions.

  • Supplemental Servicing Fees means any and all (i) late fees, (ii) extension fees, (iii) non-sufficient funds charges and (iv) any and all other administrative fees or similar charges allowed by applicable law with respect to any Receivable.

  • Supplemental Services means services or items that are provided on a limited basis to complement the care provided by the caregiver.

  • Master Servicer Certification A written certification covering servicing of the Mortgage Loans by all Servicers and signed by an officer of the Master Servicer that complies with (i) the Xxxxxxxx-Xxxxx Act of 2002, as amended from time to time, and (ii) the February 21, 2003 Statement by the Staff of the Division of Corporation Finance of the Securities and Exchange Commission Regarding Compliance by Asset-Backed Issuers with Exchange Act Rules 13a-14 and 15d-14, as in effect from time to time; provided that if, after the Closing Date (a) the Xxxxxxxx-Xxxxx Act of 2002 is amended, (b) the Statement referred to in clause (ii) is modified or superceded by any subsequent statement, rule or regulation of the Securities and Exchange Commission or any statement of a division thereof, or (c) any future releases, rules and regulations are published by the Securities and Exchange Commission from time to time pursuant to the Xxxxxxxx-Xxxxx Act of 2002, which in any such case affects the form or substance of the required certification and results in the required certification being, in the reasonable judgment of the Master Servicer, materially more onerous than the form of the required certification as of the Closing Date, the Master Servicer Certification shall be as agreed to by the Master Servicer, the Depositor and the Seller following a negotiation in good faith to determine how to comply with any such new requirements.

  • Note A-1 Master Servicer means the master servicer under the Note A-1 PSA.

  • Note A-3 Master Servicer means the master servicer under the Note A-3 PSA.

  • Special Servicer means the special servicer appointed to act in such capacity with respect to the Mortgage Loan as provided in the Lead Securitization Servicing Agreement.

  • Non-Lead Master Servicer means the applicable “master servicer” under any Non-Lead Securitization Servicing Agreement.

  • Countrywide Servicing Agreement Solely with respect to the Countrywide Mortgage Loans, the Mortgage Loan Purchase and Servicing Agreement, dated as of November 1, 2001, between the Transferor, as purchaser, and Countrywide, as seller and as servicer (as successor to Countrywide Home Loans, Inc. by an assignment dated January 1, 2001, as the same may be amended or supplemented), as the same may be amended from time to time, and any assignments and conveyances related to the Countrywide Mortgage Loans.
