Subscribing Unsecured Creditor definition

Subscribing Unsecured Creditor means (i) each Backstopper and (ii) every other Qualifying Unsecured Creditor that submits a duly executed New Investment Subscription Form electing to participate in the New Investment in accordance with Section 4.4.

  • Each Subscribing Unsecured Creditor who complies with Section 4.5(b) shall participate in the New Investment and shall subscribe for and purchase that number of LPRC Preferred Shares and LPRI Multiple Voting Common Shares in an amount equal to (x) the aggregate Subscription Amount deposited in escrow with the Monitor by that Subscribing Unsecured Creditor in accordance with Section 4.5(b), divided by (y) the sum of the LPRC Issue Price plus the LPRI Issue Price.

  • Unsecured Creditor means the holder of an Unsecured Claim.

  • Second Lien Bank Loan means a Bank Loan that is entitled to the benefit of a second lien and second priority perfected security interest on a substantial portion of the assets of the respective borrower and guarantors obligated in respect thereof.

  • Additional First Lien Secured Party means the holders of any Additional First-Lien Obligations and any Authorized Representative with respect thereto, and shall include the Initial Additional First-Lien Secured Parties.

  • Additional First Lien Secured Parties means the holders of any Additional First Lien Obligations and any trustee, authorized representative or agent of such Additional First Lien Obligations.

  • Senior Creditors means the Senior Agent, the Senior Lenders and any other Person who holds Senior Indebtedness.

  • Designated Senior Representative means (i) if at any time there is only one Senior Representative for a Senior Facility with respect to which the Discharge of Senior Obligations has not occurred, such Senior Representative and (ii) at any time when clause (i) does not apply, the Applicable Authorized Representative (as defined in the First Lien Intercreditor Agreement) at such time.

  • Second Lien Agent means the administrative agent and collateral agent under the Second Lien Term Loan Agreement, its successors, assigns, or any replacement agent appointed pursuant to the terms of the Second Lien Term Loan Agreement.

  • Creditor Representative means, with respect to Series 2023-4, the Indenture Trustee.

  • Second Lien With respect to each Mortgaged Property, the lien of the mortgage, deed of trust or other instrument securing a Mortgage Note which creates a second lien on the Mortgaged Property.

  • Junior Representative means, with respect to any series of Permitted Junior Debt, the trustee, administrative agent, collateral agent, security agent or similar agent under the indenture or agreement pursuant to which such Permitted Junior Debt is issued, incurred or otherwise obtained and each of their successors in such capacities.
