Master Separation Agreement has the meaning set forth in the recitals.
Separation Agreement has the meaning set forth in the recitals to this Agreement.
Separation Plan means the Company’s Separation Plan Amended and Restated Effective August 13, 2006, as may be amended from time to time or any successor plan, program, arrangement or agreement thereto.
Transition Agreement has the meaning set forth in Section 12.8.1.
Secondment Agreement is defined in Section 2.2.
Distribution Agreement has the meaning set forth in the recitals to this Agreement.
Source separation means the separation of different kinds of solid waste at the place where the waste originates.
Separation and Distribution Agreement has the meaning set forth in the Recitals.

Employee Matters Agreement shall have the meaning set forth in the Separation Agreement.
Prior Employment Agreement has the meaning set forth in the recitals hereto.
Air gap separation means the unobstructed vertical distance through the free atmosphere between the lowest opening from any pipe or faucet supplying water to a tank, plumbing fixture, or other device and the overflow level rim of the receptacle, and shall be at least double the diameter of the supply pipe measured vertically above the flood level rim of the vessel, but in no case less than one inch.
Employment Agreements shall have the meaning provided in Section 5.05.
Severance Agreement means the Key Executive Severance Agreement, dated as of the date hereof, between the parties, as it may be amended from time to time, that provides for certain benefits related to termination of the Executive’s employment that are unrelated to a Change of Control.
Implementation Agreement means the Implementation Agreement dated ……… by and between the GOB, PGCB and the Company in connection with the Project, and also includes any amendment of it made from time to time;
Company Employee Agreement means any management, employment, severance, change in control, transaction bonus, consulting, repatriation or expatriation agreement or other contract between any Group Company and any current or former employee, director or officer of such Group Company.
Termination Agreement has the meaning set forth in the Recitals.
Distribution Agreements means the Amended and Restated Distribution and License Agreements dated as of November 30, 1992 between Bollore and North Atlantic Operating Corporation, Inc., a Delaware corporation and subsidiary of Turning Point, relating to (i) the United States and (ii) Canada, each as amended by a Restated Amendment dated June 25, 1997 and Amendments dated respectively October 22, 1997, October 7, 1999, October 20, 1999, June 19, 2002, February 28, 2005 and April 20, 2006, and the License and Distribution Agreement, dated March 19, 2013, between Bollore and North Atlantic Operating Corporation, Inc., in each case as so amended and as may hereafter be amended, modified or superseded, and any other related agreements between or among such parties.
Separation Time means the close of business on the tenth Trading Day after the earlier of:
Retention Agreements has the meaning set forth in Section 5.11(e).
Co-operation Agreement means the agreement between the Exchange and Oslo Børs with regards to the access to the Linked Order Book;
Transition Plan means a transition plan, acceptable to the LHIN that indicates how the needs of the HSP’s clients will be met following the termination of this Agreement and how the transition of the clients to new service providers will be effected in a timely manner; and
Transition Services Agreement means a transition services agreement substantially in the form attached hereto as Exhibit C to be entered into between Seller and Purchaser at the Closing.
Tax Allocation Agreement means the Tax Allocation Agreement between Corporation and New D&B.
Transaction Agreement has the meaning set forth in the recitals.
Noncompetition Agreement has the meaning stated in Section 2.1.
