The representations and warranties in Schedule I attached hereto entitled the Specific Representation Schedule are true and correct in all material respects.
Any cause of action against the Company relating to or arising out of the breach of any Company Specific Representation or Mortgage Loan Representation shall accrue as to any Mortgage Loan upon (i) discovery of such breach by the Purchaser or notice thereof by the Company to the Purchaser, (ii) failure by the Company to cure such breach or repurchase such Mortgage Loan as specified above, and (iii) demand upon the Company by the Purchaser for compliance with this Agreement.
