Definition of S&P Asset Category E


S&P Asset Category E means (i) Senior Loans whose total syndication is less than $150 million (to the extent such loans exceed 15% of the Trust's total assets), (ii) Senior Loans which are rated below B- by S&P or are unrated (to the extent such loans exceed 15% of the Trust's total assets), and (iii) Non-Senior Loans. Notwithstanding any other provision contained above, for purposes of determining whether an S&P Eligible Asset falls within a specific S&P Asset Category, to the extent that any S&P Eligible Asset would fall in more than one of the five S&P Asset Categories, such S&P Eligible Asset shall be deemed to fall into the S&P Asset Category with the highest applicable S&P Advance Rate.
