SNAP Software definition

SNAP Software means software developed by Synapse that: (1) implements a wireless mesh network platform on which application layer scripts can run and (2) is marketed by Synapse under the trademark SNAP®. For SimplySNAP Products, the definition of SNAP Software includes the SimplySNAP Software.

  • An intended purpose of the Portal Software is to facilitate downloading, installing, updating, modifying, and/or maintaining application layer scripts that interact with and/or run on the SNAP Software.

  • Upon consummation of the transactions contemplated hereby, Buyer shall receive good, valid and marketable title to the SNAP Software free and clear of all liens, claims, and encumbrances.

  • It is contemplated that you may purchase or have purchased, from Synapse or authorized distributors of Synapse, Synapse Products storing or otherwise containing the SNAP Software for use as SNAP Nodes within a SNAP Network, and it is further contemplated that you may desire to use the Portal Software for at least the purpose of downloading, installing, updating, modifying, and/or maintaining application layer scripts on such Synapse Products for interacting with and/or running on the SNAP Software.

  • Additionally, Monster Offers will own 100% of any future Derivative Works associated with the SNAP Software and all associated Intellectual Property Rights.

  • The managing members of Primer Mover Global, LLC approved the sale of the SNAP Software.

  • Seller has good and marketable title to the SNAP Software which is included in this Agreement.

  • Licenses for the SNAP Software and other Synapse Software, if any, on such Synapse Products are provided according to Section 4 below, and use of such Synapse Products is subject to the terms of this Agreement.

  • The total purchase price for SNAP Software shall be seven million (7,000,000) unregistered restricted common shares, par value $0.001 in Monster Offers, payable by Buyer to Seller.

  • The total purchase price for SNAP Software shall be eight million (8,000,000) unregistered restricted common shares, par value $0.001 in Monster Offers, payable by Buyer to Seller.

  • In addition to transferring 100% of the ownership rights to the SNAP Software, the Seller agrees to pay the Buyer $8,000.00, the par value cost basis for this restricted common stock.

Related to SNAP Software

  • SAP Software means: (i) any and all software products and Cloud Services licensed to Customer under the License Agreement as specified in software order forms or Cloud Service Order Forms (or other order forms, schedules or appendices as applicable) thereto; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to the respective support agreement or warranty obligation and (iii) any complete or partial copies of any of the foregoing.

  • Embedded Software means one or more software applications which permanently reside on a computing device.

  • Supplier Software means software which is proprietary to the Supplier and software which is or will be used by the Supplier for the purposes of providing the Placement Services;

  • Custom Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Custom Software.

  • Hosted Software means: (a) Hosted NCR Voyix Software; and (b) Non-NCR Voyix Software provided by a third party as a hosted software application or cloud service and for which Customer purchases a subscription through NCR Voyix pursuant to an Order (“Non-NCR Voyix Hosted Software”).
