Significant Decline definition
Significant Decline shall have the meaning given such term in Section 10.1(g).
Significant Decline shall be deemed to have occurred if (i) the Average Closing Price of the Parent Common Stock is less than 75% of the Conversion Price and (ii) the number obtained by dividing the Average Closing Price of the Parent Common Stock by the Conversion Price is less than the number obtained by dividing the average of the closing prices of the Morg▇▇ ▇▇▇n▇▇▇ ▇▇-Bank Regional Peer Group during the Final Calculation Period by the average of the closing prices of the Morg▇▇ ▇▇▇n▇▇▇ ▇▇-Bank Regional Bank Peer Group for the 20 consecutive trading days ending on December 8, 1995 and subtracting .25 from the quotient.
