Shelf Registration Filing Date definition

Shelf Registration Filing Date shall have the meaning set forth in Section 2(a)(i) hereof.

Shelf Registration Filing Date means the third anniversary of the date hereof, provided that the Company's market capitalization on such date is greater than $300 million; provided, however, that if the Company's market capitalization on such date is less than or equal to $300 million, then the Shelf Registration Filing Date shall be 30 days following the first date thereafter (the "MARKET CAPITALIZATION THRESHOLD DATE") that the Company's market capitalization exceeds $300 million, and the Company shall give the Investor prompt written notice of the occurrence of the Market Capitalization Threshold Date.

Shelf Registration Filing Date. The date that is the later of 120 days after the Issue Date and 60 days after the date on which the Company becomes obligated to file such Shelf Registration.

Examples of Shelf Registration Filing Date in a sentence

• If the Company is not eligible to file registration statements on Form S-3 under the Act before the Shelf Registration Filing Date, then the Company shall file a Shelf Registration Statement on whatever form is then available for the Company to use.

• The Issuer shall use its best efforts to file with the SEC the Initial Shelf Registration on or before the 60th day after the occurrence of any of the events set forth in Section 2(c) (the "Initial Shelf Registration Filing Date").

• Not later than the Shelf Registration Filing Date (as defined below), the Company will prepare and file with the Commission a registration statement under the Securities Act covering all of the Registrable Securities then outstanding, and the Company will use its reasonable best efforts to obtain the effectiveness of such registration as soon as practicable as would permit or facilitate the original issuance or subsequent resale and distribution of all of such Registrable Securities by the Holders.

• The Company and the Guarantors shall file with the SEC no later than the Shelf Registration Filing Date a Registration Statement for an offering to be made on a continuous basis pursuant to Rule 415 covering all of the Registrable Securities (the "Shelf Registration").
