Series C Conversion Price definition

Series C Conversion Price means the price at which Ordinary Shares shall be deliverable upon conversion of the Series C Preferred Shares as stipulated in Article 16.
Series C Conversion Price shall initially be the Series C Original Issue Price. Such initial Series C Conversion Price and the rate at which Series C Preferred Shares may be converted into Common Shares, shall be subject to adjustment as provided below.
Series C Conversion Price means a price that initially equals to the Original Series C Issue Price, and shall be adjusted from time to time as provided below in Clause 9 (d)(iv) of the Memorandum.

Examples of Series C Conversion Price in a sentence

  • Such initial Series C Conversion Price, and the rate at which shares of Series C Preferred Stock may be converted into shares of Common Stock, shall be subject to adjustment as provided below.

  • Each share of Series C Preferred Stock shall be convertible, at the option of the holder thereof, at any time and from time to time, and without the payment of additional consideration by the holder thereof, into such number of fully paid and nonassessable shares of Common Stock as is determined by dividing the Series C Original Issue Price by the Series C Conversion Price (as defined below) in effect at the time of conversion.

Series C Conversion Price shall have the meaning ascribed to such term in the Series C Designations.
